NISM Certifications · NISM-Series-XV: Research Analyst
Legal and Regulatory Environment (NISM XV): formula sheet
Key formulas
- Who needs registration
- Provides research reports or recommendations on securities → must register with SEBI (unless exempt)
- Exemptions are specific and narrow. Do not stretch them.
- Research analyst
- Person primarily responsible for preparing or publishing a research report, or providing research or recommendations
- The key idea is responsibility for the content of the report.
- Research entity
- Registered entity engaged in issuing research reports or research analysis
- Entity-level registration is separate from the individual analyst's own qualifications.
- Eligibility pillars
- Qualification + NISM-Series-XV certification + net worth + fit and proper person
- All four must be met. Check the workbook for the exact current figures.
- Net worth (as in the original framework)
- Individual: ₹1,00,000; Non-individual: ₹25,00,000
- Verify against the latest workbook before the exam, as amendments have occurred.
- NISM certificate validity
- 3 years from the date of the examination
- Applies to every NISM series, including XV.
- Restricted trading window
- 30 days before + 5 days after publication of the research report
- Research analysts must not deal in the subject company's securities in this window. The restriction extends to associates in line with the regulations, and the research entity's policies may add further limits. Confirm the figures in the current NISM workbook. Do not reverse the numbers.
- Record retention
- Minimum 5 years
- Keep reports, recommendations and their supporting basis. This is the duty of the research entity.
- Contrary trading rule
- No trade contrary to own recommendation (limited exigency exceptions)
- Do not treat the exception as a normal permission. Exceptions need proper approval and documentation.
- Disclosure rule
- Disclose in the report and at public appearances: financial interest of 1% or more, beneficial ownership of 1% or more, compensation or client relationship with the subject company in the preceding 12 months, and other material conflicts
- This is a summary of the main items. It covers the analyst, the research entity and associates. Examples: financial interest or beneficial ownership of 1% or more in the subject company; compensation received from it, or it being a client, in the 12 months before publication; managing or co-managing its public offering in that period; being an officer, director or employee of it. Confirm the full list in the current workbook. The point is transparency, not prohibition.
- Who does what
- Analyst = personal conduct; Research entity = policies, compliance officer, audit, records
- Use this split to eliminate wrong options quickly.
- SCRA, 1956: core scope
- SCRA = recognition of stock exchanges + listing + regulation of contracts in securities
- Think of SCRA as the trading and exchange law. Exchanges need recognition from the Central Government.
- SEBI Act, 1992: three purposes
- Protect investors + Develop the market + Regulate the market
- Exam options often swap these with unrelated aims, such as fixing share prices or guaranteeing returns. SEBI does neither.
- SEBI's powers
- Regulation-making + Registration of intermediaries + Inquiry and investigation + Directions + Penalties
- SEBI has quasi-legislative, quasi-judicial and executive roles.
- Appeal route
- SEBI order → Securities Appellate Tribunal (SAT)
- SAT hears appeals against SEBI orders. Further appeal on a point of law goes to the Supreme Court.
- Companies Act, 2013: scope
- Incorporation + Share capital + Prospectus + Directors and governance + Audit + Winding up
- It governs the company. SEBI governs listed-company conduct in the market.
- One-line map
- Company → Companies Act; Exchange and trading → SCRA; Regulator → SEBI Act
- Use this to eliminate wrong options fast.
- UPSI test
- UPSI = information not generally available + likely to materially affect price when published
- Both limbs must be met. Public information is not UPSI, and trivial information is not UPSI.
- Insider
- Insider = connected person OR person in possession of / having access to UPSI
- A person need not work for the company to be an insider. Possession of UPSI is enough.
- Core prohibition
- No insider shall trade while in possession of UPSI, or communicate/procure UPSI except for legitimate purposes, performance of duties or legal obligations
- Applies even if no profit is made.
- Connected person look-back
- Connected person = associated with the company during the six months before the act
- The six-month period is part of the definition.
- Insider trading vs front running
- Insider trading: UPSI about company | Front running: advance knowledge of a client order
- Insider trading is under PIT. Front running is under PFUTP.
- Regulations to remember
- PIT = 2015 | PFUTP = 2003
- Do not swap the years or the subjects.
- Complaint route
- Investor → entity first → SCORES / exchange mechanism if unresolved
- The investor is expected to approach the entity first. SCORES is the escalation channel.
- Role split
- SEBI = regulator; exchange = trading platform; depository = electronic holding; clearing corporation = settlement guarantee
- Most MCQs test which body does which job.
- Depository structure
- Investor → Depository Participant (DP) → Depository (NSDL or CDSL)
- Investors deal with a DP, not directly with the depository.
- Enforcement tools
- Warning, penalty, suspension, cancellation of registration, directions, prosecution
- Pick the option that matches the severity described.
- Core ethical principles
- Integrity + Objectivity + Competence + Confidentiality + Disclosure
- Use these to test any ethics option. The correct answer usually upholds one of them.
- AML chain of duties
- Identify client (KYC) → Keep records → Monitor transactions → Report suspicious transactions to FIU-IND
- Questions often ask which step comes first or who receives the report.
- Tipping off
- Reporting a suspicious transaction ⇒ do not inform the client
- Telling the client about a suspicious transaction report is prohibited.
- Conflict of interest rule
- Conflict exists ⇒ disclose it and manage it
- Disclosure alone does not permit misuse of information or trading ahead of a report.
- Regulator and law pairing
- PMLA = law against money laundering; FIU-IND = receives reports; SEBI = securities market regulator
- Do not mix up the Act, the reporting body and the regulator.
Quick revision
- SEBI set up NISM, and the research analyst certification is NISM-Series-XV.
- The core regulation is the SEBI (Research Analysts) Regulations, 2014. Know who needs registration and what certification is required.
- Research must be fair and based on sound reasoning. Disclose conflicts of interest and holdings as the rules require.
- A research analyst must not guarantee returns or make misleading claims in research.
- Know the parent laws: SCRA for securities contracts and stock exchanges, the SEBI Act for SEBI's powers, the Companies Act for company matters.
- Insider trading means dealing in securities while in possession of unpublished price sensitive information.
- Passing on unpublished price sensitive information without a legitimate purpose is also a breach.
- Fraudulent and manipulative practices in the securities market are prohibited, whether or not you personally trade.
- Know the investor grievance routes and the role of SEBI in protecting investors.
- Anti-money laundering rules aim to stop illegal funds entering the financial system. Know the basic obligations.
- Read each question for the exact condition: who, when and what. Rules often change with these details.
- Skip a question if you are torn between two rule-based options and cannot recall the condition.
Common mistakes
- Assuming anyone who posts stock views online or in the media is automatically exempt. Fix: Treat exemptions as narrow and specific. Default to 'registration required' unless the option clearly describes an exempt case.
- Mixing up research analyst and research entity. Fix: Analyst is the person responsible for the report content. Entity is the registered organisation that issues research.
- Reversing the trading window as 5 days before and 30 days after. Fix: Learn the order as a pair: 30 days before, 5 days after publication. Confirm the figures in the current NISM workbook.
- Thinking any interest in the subject company is banned. Fix: Conflicts are mainly to be disclosed and managed. Prohibitions apply to specific acts such as trading in the window or against the recommendation.
- Saying SCRA created SEBI. Fix: SEBI was given statutory status by the SEBI Act, 1992. SCRA, 1956 is much older and deals with exchanges and contracts.
- Thinking SEBI's role includes guaranteeing returns or fixing prices. Fix: Protection means fair practices, disclosure and redress. Market risk stays with the investor.
- Treating only employees and directors as insiders. Fix: Remember the two limbs: connected person or anyone with access to UPSI. An analyst or a friend who receives UPSI can be an insider.
- Calling any non-public information UPSI. Fix: Both limbs must hold: not generally available and likely to materially affect price.
- Saying depositories trade securities or match orders. Fix: Exchanges match trades. Depositories only hold and transfer securities electronically.
- Believing an investor goes straight to SCORES without approaching the entity. Fix: Remember the order: complain to the entity first, then escalate.
Exam tips
- Learn the definitions of research analyst and research entity word for word in outline. Questions often hinge on one phrase.
- Memorise the four eligibility pillars as a single list. Many options are partial lists.
- Be careful with numbers. Note whether an amount is for an individual or a non-individual, and cross-check with the latest workbook.
- Negative marking is 25% of the question's marks, so skip questions where you cannot narrow to two options.
- Watch for absolute words such as 'only' and 'all'. They often signal a trap in regulatory questions.
- Memorise three numbers: 30 days before, 5 days after, and 5 years for records. Examiners build trap options by swapping them.
- Always identify whether the question is about the analyst or the research entity before reading the options.
- In scenario questions, check whether the correct action is disclose, abstain or document. Most right answers are one of these.
