Section 229: Penalty for False Statement and Destruction of Documents
Updated 11 October 2026 · Fact-checked
Section 229 of the Companies Act, 2013 punishes a person who, during inspection, inquiry or investigation, destroys, mutilates, falsifies, conceals or removes company documents, makes a false entry, or gives a false explanation. Such a person is punishable for fraud as provided in section 447. To solve questions, match the act to clause (a), (b) or (c).
Understand Penalty for False Statement and Destruction of Documents
Inspection, inquiry and investigation depend on two things: honest answers and intact records. If officers can hide papers or lie to the inspector, the whole process fails. Section 229 protects both.
The section covers two kinds of people. The first is any person who is required to provide an explanation or make a statement during the inspection, inquiry or investigation. The second is an officer or other employee of a company or other body corporate which is also under investigation.
The section lists three wrongs. Clause (a) covers destroying, mutilating or falsifying, or concealing, tampering with or unauthorisedly removing documents relating to the property, assets or affairs of the company or body corporate. It also covers being a party to any of these acts. Clause (b) covers making, or being a party to making, a false entry in any document concerning the company or body corporate. Clause (c) covers providing an explanation which is false or which the person knows to be false.
The punishment is not a separate fine or term. The section says the person is punishable for fraud in the manner provided in section 447. So you must say that section 229 sends you to section 447 for the actual punishment. Do not invent figures for it.
Note how this differs from section 207(4). Section 207(4) deals with a director or officer who disobeys the direction of the Registrar or inspector, with imprisonment up to one year and fine of ₹25,000 to ₹1 lakh. Section 229 deals with falsification and destruction, and links to fraud.
Key rules to remember
- Who is covered
- Person required to explain or make a statement in inspection/inquiry/investigation OR officer/employee of a company or body corporate under investigation
- Both groups are covered. The second group need not be asked for a statement.
- Clause (a): documents
- Destroys, mutilates, falsifies, conceals, tampers or unauthorisedly removes documents relating to property, assets or affairs of the company/body corporate, or is a party to such act
- Being a party to the act is also an offence.
- Clause (b): false entry
- Makes, or is a party to making, a false entry in any document concerning the company or body corporate
- The document need not be a book of account; any document concerning the company counts.
- Clause (c): false explanation
- Provides an explanation which is false or which he knows to be false
- The wording is 'false or which he knows to be false', so knowledge is not stated as a condition for the first limb.

- Section 229 itself gives no separate fine or jail term.
- Contrast: section 207(4)
- Disobeying direction of Registrar/inspector: imprisonment up to 1 year and fine ₹25,000 to ₹1,00,000
- Applies to a director or officer; conviction also means deemed vacation of office and disqualification.
How to solve Penalty for False Statement and Destruction of Documents questions
Use this method for any case question on false statements or document tampering in an inspection, inquiry or investigation.
- 1Confirm the setting: is there an inspection, inquiry or investigation under way? Section 229 applies only during one.
- 2Identify the person: someone required to explain or make a statement, or an officer or employee of a company or body corporate under investigation.
- 3Pick out the act and match it to clause (a) destruction or tampering with documents, (b) false entry, or (c) false explanation.
- 4Check the object: for clause (a) the documents must relate to the property, assets or affairs of the company or body corporate.
- 5Check for 'party to' conduct: anyone who helped under clauses (a) or (b) is also covered.
- 6State the consequence: punishable for fraud as provided in section 447.
- 7If the facts show only refusal to produce documents or assist, point to section 207(4) instead.
- 8Close with a one-line conclusion naming the person and the clause.
Quickest way: Three-clause match
When to use it: In MCQs and short case questions where you have under two minutes.
- Ask: was it a document or a statement?
- Document destroyed, hidden or removed: clause (a). Wrong entry made: clause (b). Lie told: clause (c).
- Answer: punishable for fraud under section 447.
- If the person only refused to produce documents, think section 207(4), not 229.
Common mistakes in Penalty for False Statement and Destruction of Documents
Quoting a fine or jail term as the penalty under section 229.
Students mix it up with section 207(4), which has a stated fine and jail term.
Fix: Write that the punishment is for fraud as provided in section 447. Keep section 207(4) figures for disobeying directions.
Saying only directors are liable.
Students assume investigation offences target directors only.
Fix: The section covers any person required to explain or make a statement, and any officer or employee of the company or body corporate under investigation.
Applying section 229 outside an inspection, inquiry or investigation.
Students focus on the act of destroying documents and ignore the setting.
Fix: Check first that the act took place during an inspection, inquiry or investigation.
Ignoring 'party to' liability.
Students read only the main verbs.
Fix: Remember that being a party to destruction, falsification, concealment, tampering, removal or false entry is also covered.
Treating section 229 and section 448 as the same.
Both lead to section 447.
Fix: Section 229 is limited to conduct during inspection, inquiry or investigation. Section 448 covers false or material-omitting statements in returns, reports, certificates, financial statements and similar documents under the Act, made knowingly.
Forgetting that section 229 also applies to foreign companies.
Section 228 is skipped.
Fix: Section 228 applies the provisions of the Chapter mutatis mutandis to inspection, inquiry or investigation of foreign companies.
