Orion Steel Ltd changes the residential address of its Managing Director, Mr. Dev Malhotra, whose particulars were already filed earlier. Under Section 170, what must the company do?

The company must file a return with the Registrar within thirty days of the change. Section 170(2) requires filing within thirty days of appointment and again within thirty days of any change in the prescribed particulars of a director or key managerial personnel.

  1. ANothing, as the return is filed only once at appointment
  2. BFile a return of the change with the Registrar within thirty days of the changeCorrect
  3. CFile a return of the change within six months of the change
  4. DInform members at the next annual general meeting only

Explanation

Section 170(2) requires the return to be filed within thirty days from appointment and also within thirty days of any change taking place. So a change in particulars must be reported within that period; a one-time filing or a six-month window is not what the section says.
