Foreign Company: Meaning and Definition under Section 2(42)
Updated 4 October 2026 · Fact-checked
A foreign company under Section 2(42) is any company or body corporate incorporated outside India which (a) has a place of business in India, by itself or through an agent, physically or through electronic mode, and (b) conducts any business activity in India in any other manner. Both limbs are required. Test each against the facts.
Understand Foreign Company: Meaning and Definition under Section 2(42)
Start with where the entity was born. A foreign company is not an Indian company. It was incorporated outside India. A company incorporated under the Companies Act, 2013 or any previous company law is a "company" under Section 2(20). A foreign company is different because it is formed under a foreign law.
But incorporation abroad is not enough. A foreign entity that has nothing to do with India is not a foreign company for the Act. Section 2(42) says the entity must also (a) have a place of business in India, whether by itself or through an agent, physically or through electronic mode, and (b) conduct any business activity in India in any other manner.
Read the two limbs as cumulative conditions. The word "and" joins them, so both (a) and (b) must be satisfied. Limb (a) is about having a place of business in India. Limb (b) is a residual clause. It covers conducting any business activity in India in any other manner, in addition to limb (a). The text does not say that limb (b) must rest on a different fact from limb (a). So in your answer, show from the facts that there is a place of business in India, and show that the entity conducts business activity in India. Do not stop after limb (a).
Note the words "any company or body corporate". So the entity can be a company or any other body corporate. Under Section 2(11), "body corporate" includes a company incorporated outside India, but does not include a co-operative society registered under any law relating to co-operative societies, or any other body corporate (not being a company as defined in the Act) that the Central Government specifies by notification.
The place of business can be through an agent. It can also be through electronic mode. So a foreign entity cannot avoid limb (a) by appointing an Indian agent or by operating only online. The Act does not define "place of business" in the text you need here, so in the exam reason from the facts: is there a presence in India, by itself, through an agent or electronically? Then ask: is it conducting business activity in India?
The practical result: such a company must follow the Act's provisions for foreign companies (Chapter XXII), such as registering documents with the Registrar and complying with rules on accounts, prospectus and service of documents. Study those in the related topics. Here you only need to identify whether the entity is a foreign company.
Key rules to remember
- Definition of foreign company, Section 2(42)
- Foreign company = Company or body corporate incorporated outside India + (a) place of business in India (by itself or through an agent, physically or through electronic mode) + (b) conducts any business activity in India in any other manner
- All three parts must be present. Remove any one and it is not a foreign company under this definition. Limbs (a) and (b) are cumulative. Limb (b) is a residual clause covering any business activity in India in any other manner.
- Meaning of body corporate, Section 2(11)
- Body corporate includes a company incorporated outside India; excludes registered co-operative societies and bodies the Central Government notifies
- Use it to show that a foreign incorporated entity can qualify. Co-operative societies are excluded.
- Indian company test, Section 2(20)
- Company = incorporated under the Companies Act, 2013 or any previous company law
- Use it for the contrast: Indian company is incorporated in India under company law; foreign company is incorporated outside India.
How to solve Foreign Company: Meaning and Definition under Section 2(42) questions
Use this order for any question asking whether an entity is a foreign company or asking you to explain the definition.
- 1Write the rule: quote Section 2(42) in your own words. Say it covers any company or body corporate incorporated outside India.
- 2Check incorporation first. If the entity is incorporated in India under the 2013 Act or a previous company law, it is not a foreign company. Stop and say so.
- 3Check limb (a): does it have a place of business in India, by itself or through an agent, physically or through electronic mode? Pick the fact from the question that shows this.
- 4Check limb (b): does it conduct any business activity in India in any other manner? Pick the fact from the question that shows business activity in India, such as dealing with Indian customers.
- 5Remember that both limbs must be satisfied. If the facts show only one of them, say clearly which limb is missing or not shown.
- 6Check for excluded entities: a registered co-operative society is not a body corporate under Section 2(11).
- 7State the conclusion clearly: foreign company or not, and give the reason in one line.
- 8If asked, add one line on the consequence: it must comply with the foreign company provisions of the Act.
Quickest way: Three-gate check for MCQs and short answers
When to use it: Use for MCQs with a short fact pattern and for 2-3 mark written answers.
- Gate 1: Incorporated outside India? If no, it is not a foreign company.
- Gate 2: Place of business in India, own or through agent, physical or electronic? If no, not a foreign company.
- Gate 3: Business activity in India in any other manner? If no, not a foreign company.
- In MCQs, eliminate any option that says incorporation in India, or says an agent or online presence does not count for a place of business. Also eliminate an option that treats incorporation outside India alone as enough.
- For a written answer, use the format: Provision (Section 2(42)), Facts (apply each gate and name the fact that satisfies it), Conclusion (one line). This earns step marks even if the final call is debated.
Common mistakes in Foreign Company: Meaning and Definition under Section 2(42)
Treating any company with foreign shareholders as a foreign company.
Students confuse foreign ownership with foreign incorporation.
Fix: The test is the place of incorporation. A company incorporated in India is not a foreign company, whoever owns its shares.
Saying incorporation outside India alone makes it a foreign company.
Students remember only the first words of the definition.
Fix: Also prove a place of business in India and business activity in India in any other manner. All parts are needed.
Ignoring the agent and electronic mode.
Students think a place of business must be an office owned by the company.
Fix: The definition covers a place of business by itself or through an agent, physically or through electronic mode. Quote this.
Stopping after proving the place of business and not addressing limb (b).
Students treat limb (a) as the whole test and skip the second limb joined by "and".
Fix: Limb (b) is a separate condition: conducting any business activity in India in any other manner. State the business activity shown in the facts. Both limbs must be satisfied.
Confusing a foreign company with a holding company or subsidiary of a foreign entity.
Both phrases involve foreign parents and sound similar.
Fix: An Indian subsidiary is incorporated in India and is an Indian company. The foreign parent may be a foreign company only if it meets Section 2(42).
Writing the answer without applying the facts.
Students recite the definition and stop.
Fix: After the rule, test each limb against the facts given and then conclude.
Quoting a wrong section number for the definition.
Foreign company provisions sit in a separate chapter and numbers get mixed.
Fix: Remember: the definition is Section 2(42). Body corporate is Section 2(11). Company is Section 2(20).
Worked examples
Example 1
Zenith Corp is incorporated in Singapore. It has no office in India and no agent, and has no website or other presence in India. It has no dealings with Indian customers. Is it a foreign company under Section 2(42)? Give reasons.
Show the solution
- Rule: Section 2(42) covers a company or body corporate incorporated outside India which has a place of business in India, by itself or through an agent, physically or through electronic mode, and conducts any business activity in India in any other manner. Both limbs must be satisfied.
- Incorporation: Zenith is incorporated in Singapore, which is outside India. This condition is met.
- Limb (a): Zenith has no office and no agent in India. It also has no website or other electronic presence in India on the given facts. So there is no place of business in India. Limb (a) is not met.
- Limb (b): It has no dealings with Indian customers and no business activity in India. Limb (b) is also not met.
- Conclusion: The limbs are cumulative, so failing even one is enough. Here both fail. Zenith is not a foreign company under Section 2(42).
Answer: Zenith Corp is not a foreign company. Incorporation outside India alone is not enough; it must also have a place of business in India and conduct business activity in India in any other manner.
Example 2
Orbit Ltd is incorporated in the UK. It appoints Mr. Rao as its agent in Mumbai, who runs an office there for Orbit. Orbit also sends its own sales executives from the UK to meet Indian customers and sign supply contracts directly with them. Examine whether Orbit is a foreign company.
Show the solution
- Rule: Section 2(42) defines a foreign company as a company or body corporate incorporated outside India which has a place of business in India, by itself or through an agent, physically or through electronic mode, and conducts any business activity in India in any other manner. Both limbs must be met.
- Incorporation: Orbit is incorporated in the UK. It is incorporated outside India.
- Limb (a): Mr. Rao, its agent, runs an office in Mumbai for Orbit. This is a place of business in India through an agent, physically. Limb (a) is satisfied.
- Limb (b): Orbit's own sales executives meet Indian customers and sign supply contracts directly with them. This is business activity conducted in India. Limb (b) is satisfied.
- Conclusion: Incorporation outside India, limb (a) and limb (b) are all met.
Answer: Orbit Ltd is a foreign company under Section 2(42). It is incorporated outside India, has a place of business in India through its agent's Mumbai office (limb a), and conducts business activity in India by signing supply contracts with Indian customers through its own sales executives (limb b).
Exam tips
- Always quote or paraphrase Section 2(42) first. The provision step earns marks before you touch the facts.
- Test each limb in the answer and name the fact that satisfies it. Say clearly that both (a) and (b) must be met.
- Look for traps in the facts: Indian incorporation, foreign shareholders, or a co-operative society.
- Remember agent and electronic mode. Questions often use an online seller or an Indian agent to test limb (a). Then look for the business activity in India that satisfies limb (b).
- For an MCQ, find the one option that applies all conditions together. Options that need only one condition are usually wrong.

What is the difference between a foreign company and an Indian company?
An Indian company is incorporated under the Companies Act, 2013 or any previous company law. A foreign company is incorporated outside India but has a place of business and business activity in India. Ownership does not decide this; place of incorporation does.
Does a foreign company need a physical office in India?

No. If the subsidiary is incorporated in India under company law, it is an Indian company. The foreign parent may be a foreign company only if it meets the conditions in Section 2(42).
