Companies Incorporated Outside India: Foreign Company Rules for CA Inter

A foreign company is a company or body corporate incorporated outside India which (a) has a place of business in India, whether by itself or through an agent, physically or through electronic mode; and (b) conducts any business activity in India in any other manner. Apply Section 2(42) to the facts, then list the filings.

What this chapter covers

This chapter deals with companies that were born abroad but do business in India. The Companies Act, 2013 does not ban them. It makes them register their Indian presence, file basic documents and accounts, show their name properly, and accept legal papers through someone in India. If they invite the public in India to subscribe for securities, they must follow prospectus rules too.

The chapter is short and rule-based. Almost every question tests one of four things: whether a given entity is a foreign company, what it must deliver to the Registrar, which ongoing compliances apply, and how a prospectus issue is treated. The definition is the gateway. If the entity is not a foreign company, the rest of the chapter does not apply.

It connects to the rest of Paper 2 through the definitions. The definition of body corporate includes a company incorporated outside India but leaves out co-operative societies. The prospectus topic links to the chapter on raising capital. The penalty topic links to the meaning of officer who is in default. Revise those links together and you can answer mixed questions.

This chapter is small, so it is one of the cheapest to finish well. The rules are factual and repeat the same pattern: condition, document, time limit, consequence. That suits MCQs, where one wrong detail changes the option, and suits short written answers, where a clean provision-facts-conclusion layout earns step marks. Students who skip it as 'minor' lose easy marks to those who spend a day on it.

Companies Incorporated Outside India: topics in the order to study them

  1. 1Foreign Company: Meaning and Definition under Section 2(42)Every other rule applies only to a foreign company, so learn the two-part test first.
  2. 2Registration and Documents to be Delivered under Section 380Once you know who is covered, learn what they must file and by when, since this is the core of the chapter.
  3. 3Compliance Requirements: Accounts, Name, Service of DocumentsThese are the ongoing duties after registration, and they build on the filing with the Registrar.
  4. 4Prospectus by Foreign Company and Related ProvisionsStudy it last because it needs the earlier ideas and links to the general prospectus rules.

How to prepare Companies Incorporated Outside India

You can finish this chapter in two or three short sessions. Focus on conditions and lists, not long theory.

  1. Write the definition of a foreign company from Section 2(42) in your own words. Note its two clauses, (a) and (b), which the Act joins with 'and': (a) a place of business in India, whether by itself or through an agent, physically or through electronic mode, and (b) conducts any business activity in India in any other manner. Learn each clause with the wording the Act uses.
  2. Make a one-page list of the documents delivered to the Registrar under Section 380. Cover the charter or constitution documents, the address of the registered office, the directors and secretary, the person in India authorised to accept service, and the Indian office address. Note the time limit from the bare Act text in your study material.
  3. Prepare a three-column table on a sheet: accounts, name, service of documents. For each, write the duty, who must do it, and where it is done.
  4. Link the chapter to related definitions. Re-read body corporate in Section 2(11) and officer who is in default in Section 2(60) so penalty questions are easy.
  5. Learn the prospectus rules for a foreign company as a short checklist, then compare them with the general prospectus rules to see what is extra.
  6. Solve small fact-based questions. For each, write: provision, facts, conclusion. Practise MCQs by checking the clauses of the definition one by one against the facts.
  7. Revise the lists the day before the exam, covering the notes from steps 2, 3 and 5.

Common mistakes in Companies Incorporated Outside India

  • Treating any foreign entity doing business with India as a foreign company.

Fix: Check the clauses of the definition against the facts every time. Section 2(42) reads: (a) has a place of business in India, whether by itself or through an agent, physically or through electronic mode; and (b) conducts any business activity in India in any other manner. Apply the exact wording to the facts, and write your conclusion only after checking each clause.

  • Forgetting that a place of business can be through an agent or electronic mode.

Fix: Quote the wording of Section 2(42)(a): by itself or through an agent, physically or through electronic mode.

  • Mixing up Section 2(42) with Section 380.

Fix: Remember it this way: Section 2(42) says who is covered, and Section 380 says what is delivered to the Registrar.

  • Leaving out the authorised person in India from the list of documents.

Fix: Write the list in a fixed order and tick off each item. Include the name and address of the person resident in India who can accept service.

  • Writing vague answers on name display and service of documents.

Fix: State the duty, the place where it applies and the consequence of default, in separate lines.

  • Memorising time limits or penalty amounts from guesswork.

Fix: Take every number from your current ICAI-aligned notes and the bare Act, and revise them in one list. If unsure in an answer, state the rule in words.

Companies Incorporated Outside India: frequently asked questions

What is the definition of a foreign company?

Under Section 2(42), a foreign company is any company or body corporate incorporated outside India which (a) has a place of business in India whether by itself or through an agent, physically or through electronic mode; and (b) conducts any business activity in India in any other manner. Learn the two clauses exactly as the Act words them.

Is a foreign company registered under the Companies Act, 2013?

No. It stays incorporated in its home country. It delivers the prescribed documents to the Registrar under Section 380, so its Indian presence is on record. This is a filing duty, not incorporation in India.

Does this chapter appear in MCQs or in written questions?

It can appear in both. MCQs usually test the definition or one detail from the filing or name rules. Written questions give short facts and ask whether the entity is a foreign company and what it must do.

How much time should I give this chapter?

It is a short chapter, so a few focused sessions are enough. Spend the first on the definition and Section 380, the second on accounts, name, service and prospectus, and the last on solving questions.
