Board Meetings and Committees (CA Intermediate Corporate Law)

Updated 4 October 2026 · Fact-checked

Board meetings are formal meetings where directors decide company matters. To solve a question, check notice, quorum, agenda, minutes and any resolution by circulation. Quorum is one-third of total strength or two directors, whichever is higher, with fractions rounded up. Then identify the committee and test its composition.

Understand Board Meetings and Committees

The Board of Directors acts only through valid meetings, or through a valid resolution by circulation. If the procedure is wrong, the decision can be challenged. So the exam tests procedure: notice, quorum, minutes, circulation and committees.

Notice and frequency. The Board must meet at least four times a year, with a gap between two meetings not exceeding 120 days. Written notice goes to every director, at least seven days before the meeting, with the agenda and notes on agenda. A meeting may be called at shorter notice. In that case, at least one independent director, if the company is required to have one, must be present. If no independent director is present, the decisions taken at that meeting are final only after they are ratified by at least one independent director. Secretarial Standard SS-1 supports this practice.

Quorum (section 174). Quorum is one-third of the total strength or two directors, whichever is higher. Directors joining by video conferencing or other audio visual means count. 'Total strength' excludes vacant places, and any fraction is rounded up to one. If interested directors are two-thirds or more of the total strength, the non-interested directors present, not fewer than two, form the quorum. If quorum is missing, the meeting stands adjourned to the same day, time and place in the next week, unless the articles say otherwise. If that day is a national holiday, it moves to the next day that is not a national holiday.

Circulation and minutes. A resolution by circulation (section 175) needs the draft and papers sent to all directors at their registered addresses in India, and approval by a majority of the directors entitled to vote. If one-third or more of the total number of directors ask for a meeting, the resolution must be decided at a meeting. It is then noted at the next Board meeting. Minutes (section 118) must be recorded within thirty days of the meeting. They must give a fair and correct summary and list the directors present and any dissenting directors.

Committees. The Nomination and Remuneration Committee (NRC) and Stakeholders Relationship Committee (SRC) are in section 178. The Audit Committee is also a key committee. Check who must form it, its size and who chairs it.

Key rules to remember

Board meeting quorum (section 174(1))
Quorum = higher of (⅓ × total strength, rounded up) and 2
Total strength excludes vacancies. Video conferencing participation counts.
Quorum when interested directors are many (section 174(3))
If interested directors ≥ ⅔ × total strength, quorum = non-interested directors present, minimum 2
'Interested director' means one within section 184(2).
Adjournment for want of quorum (section 174(4))
Same day, same time and place, next week (next non-holiday day if it is a national holiday)
Applies unless the articles provide otherwise.
Continuing directors (section 174(2))
If directors fall below quorum: act only to fill up to quorum or summon a general meeting
No other business is allowed.
Resolution by circulation (section 175)
Draft and papers to all directors + approval by majority of directors entitled to vote; if ≥ ⅓ of total directors require, decide at a meeting
Must be noted at the next Board or committee meeting and made part of the minutes.
Minutes (section 118)
Record in minute books with consecutively numbered pages within 30 days of the meeting
Default penalty: ₹25,000 on the company and ₹5,000 on each officer in default. Tampering: imprisonment up to 2 years and fine ₹25,000 to ₹1,00,000.
Nomination and Remuneration Committee (section 178(1))
3 or more non-executive directors, at least ½ independent
Required for every listed public company and prescribed classes. The company chairperson may be a member but cannot chair it.
Stakeholders Relationship Committee (section 178(5))
Required if security holders exceed 1,000 at any time in the financial year; chairperson must be a non-executive director
It resolves grievances of security holders.
Board meeting frequency and notice
At least 4 meetings a year; gap between meetings ≤ 120 days; notice at least 7 days; at shorter notice, at least one independent director (if the company is required to have one) must be present, otherwise decisions are final only on ratification by at least one independent director
Learn any exemptions for particular classes of companies from your study material.

How to solve Board Meetings and Committees questions

Use this order for any problem on Board meetings and committees. Write the rule, apply the facts, then give a conclusion.

  1. 1Identify what is tested: notice, quorum, adjournment, circulation, minutes or a committee.
  2. 2Check the company type and facts: listed or unlisted, public or private, and the number of directors and vacancies.
  3. 3For quorum, compute total strength excluding vacancies. Take one-third, round up, and compare with 2. Pick the higher.
  4. 4Check whether interested directors are two-thirds or more of the total strength. If so, use the non-interested directors present, minimum 2.
  5. 5For circulation, check that the draft went to all directors and that a majority approved. Check whether one-third or more demanded a meeting. Note it at the next meeting.
  6. 6For minutes, check the 30-day limit and the contents: directors present and dissenters.
  7. 7For committees, check whether the company must form the committee, the number of members, the independent share and who chairs it.
  8. 8Write the answer as provision, facts, conclusion. Quote the section number only if you are sure of it.

Quickest way: Quorum and circulation in 30 seconds

When to use it: Use it for MCQs and for the calculation part of written answers.

  1. Write the number of directors in office. Do not count vacancies.
  2. Divide by 3 and round up. Then take the higher of that figure and 2. That is the quorum.
  3. Test for interest: if interested directors × 3 ≥ total strength × 2, quorum is the non-interested directors present, minimum 2.
  4. For circulation, compute one-third of the total directors. If that many or more demand a meeting, the resolution cannot pass by circulation.
  5. MCQ trap: options are often built from forgetting vacancies, not rounding up, or using the wrong fraction. Eliminate these first.
  6. For written answers, use three lines: Rule, Application with working, Conclusion. Show the working for step marks.

Common mistakes in Board Meetings and Committees

  • Counting vacant seats in the total strength.

Students use the sanctioned number of directors.

Fix: Section 174 says total strength excludes vacancies. Use the number of directors actually in office.

  • Not rounding the fraction up.

Students round 2.67 to 2 by habit.

Fix: The Explanation to section 174 says any fraction is rounded off as one. So 2.67 becomes 3.

  • Applying the 'Chief Executive' and 'minimum of three' wording of section 378V to an ordinary company.

A provision headed Section 378V, 'Meetings of Board and quorum', appears in the same Act and looks similar. It speaks of a 'Chief Executive' and a quorum of one-third of total strength subject to a minimum of three.

Fix: Do not carry that wording into an ordinary company question. For the Board quorum of an ordinary company, use section 174: one-third of total strength or two directors, whichever is higher.

  • Saying circulation resolutions need a meeting to be approved.

Students confuse circulation with the 'decide at a meeting' proviso.

Fix: Circulation needs approval by a majority of directors entitled to vote. A meeting is needed only if at least one-third of the total directors demand it.

  • Mixing board quorum with general meeting quorum.

Both use the word 'quorum' and the fraction one-third appears in both.

Fix: Board quorum is in section 174. General meeting quorum is in section 103 and depends on the number of members and the type of company. Keep two separate lists.

  • Letting continuing directors transact all business after the Board falls below quorum.

Students read 'may act notwithstanding any vacancy' and stop.

Fix: Below quorum, the continuing directors may act only to increase the number to quorum or to summon a general meeting.

Worked examples

Example 1

Zenith Ltd has 10 seats on its Board, of which 2 are vacant. (a) What is the quorum for a Board meeting? (b) For a certain contract, 6 of the 8 directors in office are interested. How many directors must be present for quorum?

Show the solution
  1. Total strength excludes vacancies: 10 − 2 = 8.
  2. One-third of 8 = 2.67. Rounded off as one, it is 3.
  3. The higher of 3 and 2 is 3. So quorum = 3 (part a).
  4. Check section 174(3): two-thirds of 8 = 5.33. Interested directors are 6. Since 6 is greater than or equal to 5.33 (the law says 'exceeds or is equal to'), section 174(3) applies.
  5. Under section 174(3), quorum is the number of non-interested directors present, being not less than two.
  6. Directors not interested = 8 − 6 = 2. So quorum = 2 non-interested directors present, and both of them must attend.

Answer: (a) Quorum is 3 directors. (b) Interested directors (6) are at least two-thirds of the total strength (5.33), so section 174(3) applies. Quorum is 2 non-interested directors present, which means both non-interested directors must attend.

Example 2

A Board of 9 directors considers a resolution by circulation. The draft and papers were sent to all directors at their registered addresses in India. Three directors ask that it be decided at a meeting. Can it be passed by circulation? What changes if only two had asked?

Show the solution
  1. Section 175(1): circulation is valid only if the draft and papers go to all directors and a majority of directors entitled to vote approve.
  2. Proviso: if not less than one-third of the total number of directors require a meeting, the chairperson must put the resolution to a meeting.
  3. One-third of 9 = 3.
  4. Three directors asked, which is not less than 3. So the proviso applies.
  5. If only two had asked, 2 is less than 3. The proviso would not apply.
  6. Then the resolution could pass by circulation if a majority of the directors entitled to vote approved it. It must be noted at the next Board meeting and made part of the minutes.

Answer: No. Three of nine is one-third, so the chairperson must put the resolution to a Board meeting. If only two had asked, circulation could continue and pass on majority approval. It would then be noted at the next meeting.

Exam tips

  • Show the quorum working line by line: total strength, one-third, rounding, comparison with 2. Step marks sit here.
  • Read the facts for vacancies and interested directors before computing. Examiners plant both.
  • For committees, learn composition as a mini table in your head: who must form it, minimum members, independent share and chair rules.
  • For MCQs, remember that quorum counts video conferencing participants and that the adjourned meeting is the same day next week.
  • In written answers, state the rule, apply it and conclude. Cite a section number only if you are sure of it.

Board Meetings and Committees: frequently asked questions

What is the quorum for a Board meeting under section 174?

It is one-third of the total strength or two directors, whichever is higher. Total strength excludes vacancies and fractions are rounded up. Directors attending by video conferencing count.

What happens if a Board meeting lacks quorum?

Unless the articles say otherwise, the meeting automatically stands adjourned to the same day, time and place in the next week. If that day is a national holiday, it moves to the next day that is not a national holiday.

Can a Board pass a resolution by circulation if some directors object?

Yes, if a majority of the directors entitled to vote approve the circulated draft. But if at least one-third of the total directors require a meeting, the resolution must be decided at a meeting. A passed circulation resolution is noted at the next Board meeting.

Who can chair the Nomination and Remuneration Committee?

The committee has three or more non-executive directors, at least half of them independent. The company chairperson can be a member but cannot chair this committee.

Within how many days must minutes be recorded?

Under section 118, minutes must be prepared, signed as prescribed and kept in the minute book within thirty days of the conclusion of the meeting. The pages must be consecutively numbered.
