Incorporation of LLP and Incorporation Document under the LLP Act, 2008
Updated 4 October 2026 · Fact-checked
An LLP is incorporated when two or more persons associated for a lawful business with a view to profit subscribe their names to an incorporation document and file it with the Registrar under Section 11, along with a compliance statement from a professional. To answer questions, list the requirements, contents, filing and statement.
Understand Incorporation of LLP and Incorporation Document
A limited liability partnership (LLP) is a body formed by registration under the LLP Act, 2008. It does not come into being by agreement alone. It comes into being when the Registrar accepts the documents filed for it.
The starting point is Section 11. Two or more persons must be associated for carrying on a lawful business with a view to profit. They subscribe their names to an incorporation document. This is the LLP's founding paper, much like the memorandum for a company.
The incorporation document is filed with the Registrar of the State in which the registered office is to be situated, in the prescribed manner and with the prescribed fees. Along with it, you must file a statement in the prescribed form. It is made by an advocate, a Company Secretary, a Chartered Accountant or a Cost Accountant who is engaged in the formation of the LLP, and by any one person who subscribed to the document. It says that all requirements of the Act and rules have been complied with.
Two supporting ideas matter. First, every LLP must have a registered office where communications and notices are received (Section 13). Second, a proposed name can be reserved in advance (Section 16). A third route to an LLP is conversion of an existing firm, private company or unlisted public company (Section 55 and Section 58 for the firm route and registration effects).
Key rules to remember
- Who can incorporate (Section 11(1)(a))
- Two or more persons + lawful business + view to profit + subscribe names to incorporation document
- Minimum two persons. The business must be lawful and carried on with a view to profit.
- Filing (Section 11(1)(b))
- Incorporation document → Registrar of the State of the proposed registered office, in prescribed manner and with prescribed fees
- The State is decided by the location of the registered office.
- Compliance statement (Section 11(1)(c))
- Statement by advocate / CS / CA / Cost Accountant engaged in formation + any one subscriber
- It is filed along with the incorporation document. It confirms compliance with the Act and rules for incorporation and matters precedent and incidental to it.
- Contents of incorporation document (Section 11(2))
- Name + proposed business + registered office address + name and address of each partner on incorporation + name and address of designated partners + other prescribed information
- It must also be in the prescribed form.
- False statement penalty (Section 11(3))
- Imprisonment up to 2 years and fine of ₹10,000 to ₹5,00,000
- Applies to a person who makes the Section 11(1)(c) statement which he knows to be false or does not believe to be true. The fine is not less than ten thousand rupees and may extend to five lakh rupees.
- Registered office default (Section 13(4))
- ₹500 per day of default, maximum ₹50,000, on the LLP and on every partner
- The maximum of ₹50,000 applies separately to the LLP and to each partner. This is the position after the 2021 amendment, effective 1-4-2022.
- Name reservation (Section 16)
- Reservation period = 3 months from the date of intimation by the Registrar
- Covers the name of a proposed LLP or a name to which an LLP proposes to change. The Registrar may reserve it if satisfied that the name is not rejectable on a ground in Section 15(2).
- Conversion from firm (Sections 55 and 58)
- Firm complies with Second Schedule → Registrar registers documents and issues certificate → LLP exists from date in certificate
- The LLP must inform the Registrar of Firms or Registrar of Companies within 15 days of the date of registration.
How to solve Incorporation of LLP and Incorporation Document questions
Use this method for any question on LLP incorporation, whether it is a theory question, a case study or an MCQ.
- 1Identify what is asked: incorporation from scratch, the contents of the document, registered office, name reservation or conversion.
- 2State the basic requirement: two or more persons, lawful business, view to profit, names subscribed to the incorporation document.
- 3Say where and how to file: the Registrar of the State of the registered office, in the prescribed manner with prescribed fees.
- 4Add the Section 11(1)(c) statement: who gives it (advocate, CS, CA or Cost Accountant engaged in formation, plus one subscriber) and what it confirms.
- 5List the contents under Section 11(2) if the question asks about the document, or apply the rule on registered office, name reservation or conversion if asked.
- 6Check the facts for defects, such as a non-profit purpose, a single person, an unlawful business or a statement by a person not engaged in formation.
- 7Conclude clearly with the legal result, such as valid incorporation, the penalty, or the effect of the conversion certificate.
Quickest way: Quick recall for MCQs and a mark-earning written format
When to use it: Use this when you have two to three minutes per MCQ or when a 5 to 6 mark theory answer is needed.
- For MCQs, look for number traps: two or more persons, 3 months for reservation, 15 days for informing the other Registrar, ₹500 per day up to ₹50,000, imprisonment up to 2 years.
- Eliminate options that say a company or a single person can form an LLP under Section 11, or that the document is filed with the Registrar of any State.
- For written answers, use the format Provision, Facts, Conclusion. Write the section number first, then apply it to the facts in one or two lines.
- Use bullets for the contents of the incorporation document. Each bullet can earn a step mark.
- Always name the person making the Section 11(1)(c) statement and the consequence of a false statement.
Common mistakes in Incorporation of LLP and Incorporation Document
Saying an LLP can be formed by one person.
Students confuse it with the one person company.
Fix: Remember that Section 11(1)(a) requires two or more persons associated for a lawful business with a view to profit.
Filing the incorporation document with the Registrar of any State.
Students forget that the location of the registered office decides the Registrar.
Fix: State that it is filed with the Registrar of the State in which the registered office is to be situated.
Saying the Section 11(1)(c) statement is made only by a professional.
Students remember the professional and skip the second person.
Fix: Write that it is made by an advocate, CS, CA or Cost Accountant engaged in formation, and by any one who subscribed his name to the document.
Treating a registered office change as effective on the date of the decision.
Students assume an internal decision is enough.
Fix: Under Section 13(3), the change takes effect only upon filing the notice with the Registrar.
Mixing up the reservation period and the 15-day period.
Both are short periods linked to name and conversion.
Fix: Reservation lasts 3 months from the Registrar's intimation. The 15 days relate to informing the Registrar of Firms or Companies after conversion registration.
Saying the firm continues to exist after conversion.
Students think conversion is only a change of name.
Fix: Under Section 58(4), property and liabilities vest in the LLP, and the firm or company is deemed dissolved and removed from the records of the earlier Registrar.
