Incorporation of LLP and the Incorporation Document
Updated 11 October 2026 · Fact-checked
An LLP is incorporated when two or more persons associated for a lawful business with a view to profit subscribe their names to an incorporation document, file it with the Registrar with a compliance statement from a professional, and the Registrar registers it within fourteen days and issues a certificate of incorporation (Sections 11 and 12).
Understand Incorporation of LLP and Incorporation Document
An LLP does not exist just because partners sign an agreement. It comes into existence by registration. Sections 11 and 12 of the LLP Act, 2008 lay down how this happens.
The starting point is the incorporation document. Two or more persons who are associated for carrying on a lawful business with a view to profit must subscribe their names to it. It is filed with the Registrar of the State in which the registered office of the LLP is to be situated. In practice it is filed electronically, in the prescribed form, with the prescribed fee.
The filing has a second layer of protection. Along with the document, a statement must be filed. It is made by an advocate, a Company Secretary, a Chartered Accountant or a Cost Accountant who is engaged in the formation of the LLP, and by any one person who subscribed to the document. It says that all requirements of the Act and rules for incorporation and matters precedent and incidental to it have been complied with. The Registrar may accept this statement as sufficient evidence that the subscription requirement is met (Section 12(2)). A false statement made knowingly, or without believing it to be true, is punishable with imprisonment up to two years and fine of at least ₹10,000, extendable to ₹5 lakh (Section 11(3)).
The document must be in the prescribed form and must state: the name of the LLP; the proposed business; the address of the registered office; the name and address of each person who is to be a partner on incorporation; the name and address of the persons who are to be designated partners on incorporation; and any other information the rules prescribe.
Once the filing requirements are met, the Registrar registers the document and gives a certificate of incorporation within fourteen days. The certificate is signed by the Registrar, authenticated by his official seal, and is conclusive evidence that the LLP is incorporated by the name specified. Name reservation (Section 16) and the registered office (Section 13) support this process.
Key rules to remember

- Two or more persons + lawful business + with a view to profit
- They subscribe their names to the incorporation document. A single person cannot form an LLP.

- Registrar of the State of the proposed registered office
- Filed in the prescribed manner with the prescribed fee.
- Statement of compliance (Section 11(1)(c))

- Name; proposed business; registered office address; partners' names and addresses; designated partners' names and addresses; other prescribed information
- Must also be in the prescribed form.
- Penalty for false statement (Section 11(3))

- Registration (Section 12)

- Certificate is signed, sealed and is conclusive evidence of incorporation by that name.
- Name reservation (Section 16)

- Available for a proposed LLP or for a name to which an existing LLP proposes to change. Registrar must be satisfied that the name is not one rejectable under Section 15(2).
- Registered office (Section 13)
- Change takes effect only on filing notice with Registrar; default penalty ₹500 per day, maximum ₹50,000
- The penalty applies to the LLP and to every partner, each up to the maximum.
How to solve Incorporation of LLP and Incorporation Document questions
Use this order for any question on incorporation of an LLP. It matches the ICSI answer style: provision, facts, conclusion.
- 1Identify what is asked: formation, contents of the document, name, registered office, or the Registrar's duty.
- 2State the governing provision in plain words with the section number: Section 11 for the document, Section 12 for registration, Section 13 for the registered office, Section 16 for name reservation.
- 3List the conditions: at least two persons, lawful business, profit motive, filing with the Registrar of the right State, and the professional's statement.
- 4Test the facts against each condition one by one. Check the number of subscribers, the type of business, the State of the registered office, and who made the statement.
- 5Check the contents of the document if relevant: name, business, office, partners, designated partners.
- 6Apply the time limits and amounts that the facts call for: 14 days, 3 months, ₹500 per day, ₹50,000 cap, ₹10,000 to ₹5 lakh.
- 7Write a clear conclusion: whether the LLP is validly incorporated, or what the consequence is, citing the section.
Quickest way: Five-point incorporation check
When to use it: Use when time is short or the question is a short note or a fact-based problem on whether an LLP is validly formed.
- Persons: two or more, associated for a lawful business with a view to profit.
- Document: signed by subscribers, stating the name, business, office, partners and designated partners.
- Filing: with the Registrar of the State of the registered office, with fee and the professional's statement.
- Registration: Registrar registers and issues a certificate within 14 days.
- Effect: the certificate is conclusive evidence of incorporation under that name.
Common mistakes in Incorporation of LLP and Incorporation Document
Saying an LLP can be formed by one person or that any number is fine.
Students mix up the LLP with the One Person Company.
Fix: Remember Section 11(1)(a): two or more persons subscribe their names. State this first in your answer.
Naming only the Chartered Accountant or Company Secretary as the person who gives the statement.
Students recall only the professions they know best.
Fix: Learn all four: advocate, Company Secretary, Chartered Accountant or Cost Accountant, engaged in formation. Also add that one subscriber joins in the statement.
Writing that the name is reserved for 6 months or 20 days.
Mixing with company law name approval timelines.
Fix: Under Section 16(2) the reservation is for three months from the date of intimation by the Registrar.
Saying a change of registered office is effective once the partners decide it.
Students treat it as an internal matter.
Fix: Under Section 13(3) the change takes effect only upon filing the notice with the Registrar.
Leaving out designated partners from the contents of the incorporation document.
Students list only the name, business and office.
Fix: Section 11(2)(f) requires the name and address of the persons to be designated partners on incorporation. Use the full list of contents as a checklist.
Treating the certificate as merely prima facie evidence, or forgetting the 14-day period.
Confusion with other registration provisions.
Fix: Section 12(4) makes the certificate conclusive evidence. Section 12(1) gives the Registrar fourteen days.
Worked examples
Example 1
Ravi, Sunita and Imran want to start a trading LLP in Pune. They have signed the incorporation document. Explain the steps and requirements for its incorporation under the LLP Act, 2008, and say when the LLP will come into existence.
Show the solution
- Provision: Under Section 11(1), for an LLP to be incorporated, two or more persons associated for carrying on a lawful business with a view to profit must subscribe their names to an incorporation document.
- Facts: Three persons are associated and trading is a lawful business with a profit motive, so the subscription requirement is met.
- Filing: The document must be filed in the prescribed manner with the prescribed fee with the Registrar of the State in which the registered office is to be situated. Here that is the Registrar for Maharashtra, since the office is in Pune.
- Statement: Along with it, a statement in the prescribed form must be filed by an advocate, Company Secretary, Chartered Accountant or Cost Accountant engaged in the formation, and by any one of Ravi, Sunita or Imran, that all requirements have been complied with.
- Registration: Under Section 12(1), the Registrar retains the document and, within fourteen days, registers it and gives a certificate of incorporation by the name specified.
- Effect: The certificate is signed and sealed by the Registrar and is conclusive evidence of incorporation (Section 12(4)).
Answer: The LLP is incorporated on registration. Once the document and the professional's statement are filed with the Registrar of Maharashtra, the Registrar registers it within fourteen days and issues the certificate, which is conclusive evidence that the LLP exists under the name specified.
Example 2
An LLP changes its registered office and the partners decide not to inform the Registrar for four months. Later the Registrar finds the default continued for 120 days. What is the legal position and the maximum penalty each of the LLP and every partner may face?
Show the solution
- Provision: Section 13(3) allows an LLP to change its registered office by filing a notice of change with the Registrar in the prescribed form and manner. The change takes effect only upon such filing.
- Facts: No notice was filed, so in law the change has not taken effect. The registered office remains the old one.
- Penalty: Under Section 13(4), on default the LLP and its every partner are liable to a penalty of ₹500 for each day the default continues, subject to a maximum of ₹50,000.
- Computation: 120 days × ₹500 = ₹60,000. This exceeds the cap of ₹50,000.
- Apply the cap: The penalty is limited to ₹50,000 for the LLP and the same maximum for each partner.
Answer: The change of office has no effect until notice is filed. The default attracts ₹500 per day, which for 120 days would be ₹60,000, but it is capped at ₹50,000 for the LLP and for every partner.
Exam tips
- Write the section number with each point: 11 for the document and statement, 12 for registration, 13 for the registered office, 16 for name reservation.
- Learn the contents of the incorporation document as a list. Short notes on this topic are common and marks go for complete lists.
- In fact-based questions, check the numbers and time limits first: two or more persons, 14 days, 3 months, ₹500 per day and ₹50,000.
- End each answer with a clear conclusion on whether the LLP is validly incorporated or what the consequence is.
- Do not quote specific form numbers or fee amounts unless you are sure. Say 'in the prescribed form and manner'.
