DPIIT Recognition and Eligibility Criteria for Startups
Updated 11 October 2026 · Fact-checked
DPIIT recognition is a certificate from the Department for Promotion of Industry and Internal Trade that confirms an entity is a startup. To qualify, it must be a private limited company, registered partnership firm or LLP, within the age and turnover limits, innovative or scalable, and not formed by splitting or reconstructing an existing business.
Understand DPIIT Recognition and Eligibility Criteria
A startup is not just any new business. For government benefits, it must meet the definition in the DPIIT notification issued under the Startup India initiative. Recognition is the official proof that you meet it.
The definition looks at four things: the type of entity, its age, its turnover, and its purpose. Only a private limited company, a registered partnership firm or a limited liability partnership can qualify. A sole proprietorship, a public company or a one person company does not fit the listed entity types.
Age is counted from the date of incorporation or registration. Under the general notification, the entity must be within ten years of that date. Turnover must not have exceeded ₹100 crore in any financial year since incorporation. The test is every year, not only the latest year. The Government has relaxed limits for deep-tech startups in later notifications, so check the current notification for those limits.
The purpose test has two parts. The entity must be working towards innovation, development or improvement of products, processes or services, or it must have a scalable business model with high potential for employment generation or wealth creation. It must also not be formed by splitting up or reconstructing an existing business. This stops old businesses from restarting under a new name to claim benefits.
You apply online on the Startup India portal. The entity gives its incorporation details, a description of its business and the nature of its innovation or scalability. DPIIT reviews the application and issues a recognition certificate. Recognition by itself is not the same as getting a tax exemption. Tax benefits need separate conditions and approval under the tax law.
Key rules to remember
- Eligible entity types
- Private limited company OR registered partnership firm OR LLP
- Sole proprietorships, public companies and OPCs are outside the listed types.
- Age limit (general)
- Age ≤ 10 years from date of incorporation or registration
- Deep-tech startups have a longer period under later notifications. Check the current notification.
- Turnover limit (general)
- Turnover ≤ ₹100 crore in every financial year since incorporation
- Crossing the limit in even one year disqualifies the entity.
- Purpose test
- Innovation, development or improvement of products, processes or services OR scalable model with high potential for jobs or wealth creation
- Only one limb needs to be satisfied.
- Exclusion
- Not formed by splitting up or reconstruction of an existing business
- This applies to all entity types.
- Recognition authority
- DPIIT (Ministry of Commerce and Industry) through the Startup India portal
- The certificate is separate from tax-exemption approval.
How to solve DPIIT Recognition and Eligibility Criteria questions
Most questions give you facts about a business and ask whether it is a recognised startup, or ask you to state the definition and process. Use the same method every time.
- 1State that the question turns on the DPIIT notification definition of a startup issued under the Startup India initiative.
- 2Test the entity type: private limited company, registered partnership firm or LLP.
- 3Test the age: count from the date of incorporation or registration to the relevant date.
- 4Test turnover for every financial year since incorporation against the ₹100 crore limit, unless the facts bring in a deep-tech relaxation.
- 5Test the purpose: innovation or improvement, or a scalable model with high potential for employment or wealth. Then check it is not a split-up or reconstruction of an existing business.
- 6If the question asks about the process, list the steps: online application on the Startup India portal, documents and business details, DPIIT review, recognition certificate.
- 7Write a clear conclusion: eligible or not eligible, with the failed condition named. Add that tax benefits need separate approval, if relevant.
Quickest way: Four-gate check
When to use it: Use this for short case-based questions with limited time.
- Gate 1, entity: is it a private limited company, partnership firm or LLP?
- Gate 2, age: is it within ten years?
- Gate 3, turnover: has it stayed within ₹100 crore every year?
- Gate 4, purpose and origin: is it innovative or scalable, and not a split-up or reconstruction?
- If any gate fails, the answer is not eligible. Name the gate in one line and conclude.
Common mistakes in DPIIT Recognition and Eligibility Criteria
Treating any new business as a startup.
The word startup is used loosely in daily life.
Fix: Always apply the DPIIT definition. State the four conditions before you conclude.
Including sole proprietorships or public companies as eligible entities.
Students remember that startups are small businesses and ignore the legal form.
Fix: Remember the three forms only: private limited company, registered partnership firm, LLP.
Testing turnover only for the latest year.
Students assume current turnover decides eligibility.
Fix: The limit applies to every financial year since incorporation. One year above the limit disqualifies.
Counting age from the date the business idea began or from the date of recognition.
Students confuse operational start with legal existence.
Fix: Count from the date of incorporation or registration.
Forgetting the split-up or reconstruction exclusion.
It appears as a short proviso and is easy to miss in facts.
Fix: Scan the facts for any link to a prior business, such as a transfer of an existing division into a new company.
Saying DPIIT recognition automatically gives a tax exemption.
Recognition and tax benefits are discussed together.
Fix: Say that recognition is the base condition. Tax benefits need separate eligibility and approval under the tax law.
Worked examples
Example 1
Aarav Technologies Private Limited was incorporated on 1 April 2021. It develops a new AI-based process for detecting crop disease. Its highest turnover in any year so far is ₹18 crore. Can it be recognised by DPIIT as a startup in June 2027?
Show the solution
- Provision: the DPIIT notification defines a startup by entity type, age, turnover and purpose.
- Entity: it is a private limited company, so this is satisfied.
- Age: from 1 April 2021 to June 2027 is about six years, which is within ten years.
- Turnover: the highest in any year is ₹18 crore, which is within ₹100 crore.
- Purpose: it develops a new process, so it meets the innovation test. Nothing in the facts suggests it was formed by splitting up or reconstructing an existing business.
Answer: Aarav Technologies Private Limited satisfies all the conditions and is eligible to apply for DPIIT recognition through the Startup India portal.
Example 2
Meera runs a sole proprietorship selling garments, started in 2023. Separately, Kapoor Traders Private Limited was formed in 2025 by transferring the existing trading division of an old firm into a new company. Both claim to be startups. Examine.
Show the solution
- Provision: a startup must be a private limited company, registered partnership firm or LLP, and must not be formed by splitting up or reconstructing an existing business.
- Meera: a sole proprietorship is not one of the listed entity types, so it cannot be recognised in this form. If she incorporates a private limited company or LLP, she may test eligibility again.
- Kapoor Traders: it is a private limited company and is young, so entity type and age are satisfied.
- However, it was formed by transferring an existing division, which is a split-up or reconstruction of an existing business. This falls within the exclusion.
- Conclusion for each entity is drawn on the failed condition.
Answer: Meera's sole proprietorship is not eligible because of its legal form. Kapoor Traders Private Limited is not eligible because it was formed by splitting up or reconstructing an existing business.
Exam tips
- Write the definition as a short list of conditions. Examiners reward a clear structure: entity, age, turnover, purpose, exclusion.
- In case studies, underline dates and turnover figures in the question. Calculate the age and compare each year's turnover before you write.
- Name the exact failed condition in the conclusion. A bare yes or no loses marks.
- If asked about the process, give the sequence in order: online application, documents and business details, DPIIT review, certificate. Mention that tax benefits are separate.
- State the limits as given in the current notification. Mention that deep-tech startups have relaxed limits only if you are sure of the figures.

DPIIT Recognition and Eligibility Criteria: frequently asked questions
What is the startup definition as per the DPIIT notification?
A startup is a private limited company, registered partnership firm or LLP that is within the age limit and turnover limit, works on innovation or a scalable model with high potential for jobs or wealth, and is not formed by splitting up or reconstructing an existing business. Under the general notification the limits are ten years and ₹100 crore.
How do I get a DPIIT startup recognition certificate?
You apply online on the Startup India portal with your incorporation details, a description of your business and what makes it innovative or scalable. DPIIT reviews the application and, if satisfied, issues the recognition certificate.
Is a one person company or a sole proprietorship eligible for DPIIT recognition?
No. Only a private limited company, registered partnership firm or LLP is listed as an eligible entity type. A proprietor who wants recognition must first set up one of these forms.
Does DPIIT recognition give tax exemption automatically?
No. Recognition shows that you meet the startup definition. Tax benefits need separate conditions and approval under the tax law, so treat them as a second step.
