Principles of Drafting Company Documents Under the Companies Act, 2013

Updated 11 October 2026 · Fact-checked

Drafting a company document means preparing a clear, precise paper that meets the Companies Act, 2013 and its rules. You identify the section, list the required contents, draft in exact statutory terms, check the facts, and file within the time limit. The Registrar registers; the company stays responsible for accuracy.

Understand Drafting of Company Documents: Principles and Overview

A company document is any paper the Act requires a company or its people to prepare, sign, keep or file. Examples are the memorandum and articles, declarations, returns and notices. The Act says what each must contain and who must give it.

Drafting is not creative writing. The law is your template. You start from the section, list every item it demands, and cover each one. A missing item can make the filing defective or the document invalid.

Four principles guide you. Clarity: one idea per sentence, no vague words. Precision: exact names, addresses, dates and section references. Statutory compliance: follow the Act, the rules and the prescribed form. Accuracy and completeness: state facts correctly and hide nothing material.

Two parties matter. The company and its signatories prepare and file the document and carry responsibility for what it says. The Registrar checks the filed documents, registers them, and in incorporation issues the certificate of incorporation and allots the corporate identity number. Section 7(5) shows the stakes: false or incorrect particulars, or suppressing material information, make a person liable for action under section 447.

Time also matters. Section 380 requires a foreign company to deliver its documents within thirty days of establishing a place of business in India, and to file any alteration within thirty days. A well-drafted document filed late is still a default.

Key rules to remember

Drafting checklist
Section → required contents → prescribed form → signatories → time limit → filing
Run every question through these six points in order.
Incorporation filing (Section 7(1))
Memorandum and articles + declaration of professional + declaration of subscribers and first directors + address for correspondence + particulars of subscribers and first directors + directors' interests and consent
Filed with the Registrar having jurisdiction over the proposed registered office.
Registrar's action (Section 7(2) and (3))
Register documents → issue certificate of incorporation → allot corporate identity number
The CIN is a distinct identity and is included in the certificate.
Foreign company filing (Section 380(1))
Delivery to Registrar within 30 days of establishing a place of business in India
Includes certified charter or constitution, principal office address, list of directors and secretary, India-resident process agent, Indian principal place of business, earlier-business particulars, a declaration on convictions and debarment, and other prescribed information.
Alteration return (Section 380(3))
Alteration → return in prescribed form within 30 days
A non-English instrument needs a certified English translation.
Preservation duty (Section 7(4))
Keep copies of originally filed documents at the registered office till dissolution
Applies to documents filed for incorporation.
Consequence of false filing (Section 7(5)-(7))
False or suppressed information → action under section 447; Tribunal may regulate management, make liability unlimited, remove the name, or order winding up
The Tribunal must hear the company and consider its transactions first.

How to solve Drafting of Company Documents: Principles and Overview questions

Use this method for any question on drafting or filing a company document. It keeps your answer in the provision, analysis, conclusion format.

  1. 1Identify the document and the governing section. Name the section only when you are sure of it.
  2. 2State the rule in plain words: who must file, with whom, and by when.
  3. 3List the required contents from the section, item by item.
  4. 4Apply them to the facts: pick out the names, addresses, dates and persons given in the question.
  5. 5Draft the document or clause in precise language, with the correct heading, parties and date.
  6. 6Add the signatories, declarations and attachments the law demands.
  7. 7Note the time limit, the filing authority and the consequence of default or false statement.
  8. 8Conclude in one line stating what is to be filed, by whom and by when.

Quickest way: Six-point statutory check

When to use it: Use when time is short and the question asks you to list or outline the contents of a statutory document or filing.

  1. Write the section and the filing authority.
  2. List the required contents as numbered points using the Act's own words.
  3. Tie two or three points to facts in the question.
  4. State the deadline.
  5. State the consequence of default or false information.
  6. Close with a one-line conclusion.

Common mistakes in Drafting of Company Documents: Principles and Overview

  • Writing general advice on good drafting instead of applying the section.

The topic title sounds theoretical, so students write essays on clarity and style.

Fix: Anchor every answer to a provision and its listed contents, then use clarity and precision to present them.

  • Leaving out required items such as the process agent in India or the declaration on convictions for a foreign company.

Students memorise only the main documents, like the charter and address.

Fix: Learn the list in section 380(1) as a numbered checklist (a) to (h) and tick each one.

  • Missing the thirty-day limits.

Students focus on contents and forget timing.

Fix: Attach the deadline to every filing. Section 380 gives thirty days both for initial delivery and for alterations.

  • Saying the Registrar is responsible for the correctness of the document.

    Students think registration means approval.

Fix: State that the Registrar registers on the basis of what is filed, while the company and signatories answer for its accuracy. Section 7(5) and (6) show liability for false particulars.

  • Treating a foreign company's non-English charter as acceptable without translation.

The translation requirement sits in a short clause and is easily skipped.

Fix: Remember that a certified English translation is required if the instrument is not in English.

  • Mixing up the declaration by the professional with the declaration by subscribers and first directors.

Both are called declarations and both appear in section 7(1).

Fix: Link clause (b) to the advocate, chartered accountant, cost accountant or company secretary in practice engaged in formation, plus a person named in the articles. Link clause (c) to subscribers and first directors.

Worked examples

Example 1

Zephyr Components Inc., incorporated outside India, set up a liaison place of business at Pune on 1 March. List what it must deliver to the Registrar and by when. Its charter is in German.

Show the solution
  1. Provision: section 380(1) applies to every foreign company that establishes a place of business in India.
  2. Time limit: delivery is due within thirty days of establishing the place of business, so by 31 March.
  3. Charter: deliver a certified copy of the charter, statutes or memorandum and articles. As it is in German, add a certified English translation.
  4. Other particulars: full address of the registered or principal office; list of directors and secretary with prescribed particulars.
  5. India-specific items: name and address of one or more India-resident persons authorised to accept service of process and notices; address of the Indian office deemed the principal place of business.
  6. Further items: particulars of any earlier opening or closing of a place of business in India; a declaration that no director or authorised representative in India has been convicted or debarred from company formation and management in India or abroad; any other prescribed information.
  7. Later changes: any alteration must be filed in the prescribed form within thirty days.

Answer: Zephyr must deliver the section 380(1) documents, including a certified English translation of its German charter, by 31 March, and report any later alteration within thirty days.

Example 2

Aarav and Meera are subscribers to a new company, Kaveri Foods Private Limited. The company secretary in practice who handled the formation wants to know which declarations and filings are needed, and what happens if a material fact is hidden.

Show the solution
  1. Provision: section 7(1) lists the documents filed with the Registrar having jurisdiction over the proposed registered office.
  2. Core documents: memorandum and articles signed by all subscribers in the prescribed manner.
  3. Professional declaration: the practising company secretary and a person named in the articles as director, manager or secretary declare that all requirements of the Act and rules on registration are complied with.
  4. Personal declarations: each subscriber and each named first director declares no conviction for offences in connection with promotion, formation or management, and no finding of fraud, misfeasance or breach of duty during the preceding five years, and that the filed documents are correct and complete to the best of knowledge and belief.
  5. Other items: address for correspondence until the registered office is established; particulars and proof of identity of subscribers and first directors; first directors' interests in other firms or bodies corporate with their consent to act.
  6. Registrar's role: on these documents the Registrar registers them, issues the certificate of incorporation and allots the CIN.
  7. Consequence: false or incorrect particulars or suppression of material information attract action under section 447. If incorporation is later proved to be obtained this way, the promoters, first directors and the declarants under clause (b) are each liable, and the Tribunal may regulate management, make members' liability unlimited, remove the name, or order winding up, after hearing the company.
  8. Practice point: the company must keep copies of the originally filed documents at its registered office till dissolution.

Answer: File the section 7(1) documents and declarations; the Registrar registers and issues the certificate and CIN. Hiding a material fact exposes the declarants and promoters to section 447 action and the Tribunal's orders.

Exam tips

  • Begin each answer with the provision and the authority, then the contents, then the facts. This follows the provision-analysis-conclusion pattern.
  • Learn section 380(1)(a) to (h) and section 7(1)(a) to (g) as numbered lists, because questions often ask you to enumerate them.
  • Always mention time limits and the consequence of default. They are easy marks.
  • In drafting questions, write the document with title, parties, date and signature block, not just notes about it.
  • Use the names and facts in the question. Generic answers lose marks in case-based papers.
