Empowerment of the Company Secretary Profession: Chapter Guide
This chapter covers how law gives the Company Secretary a defined role and protects the profession. You study the CS role in ESG and governance, the functions under Section 205 of the Companies Act, 2013, the whole-time secretary in a Producer Company under Section 378X, and the penalty for misuse of ICSI's name under Section 25 of the Company Secretaries Act, 1980.
What this chapter covers
This chapter is about the legal standing of the Company Secretary. Three provisions anchor it. Section 205 of the Companies Act, 2013 lists the functions of the company secretary. Section 378X requires certain Producer Companies to have a whole-time secretary who is an ICSI member. Section 25 of the Company Secretaries Act, 1980 punishes people who misuse the Institute's name or award look-alike designations.
The fourth topic, the role of the Company Secretary in ESG and governance, ties these provisions to practice. Section 205 makes the CS the person who reports to the Board on compliance and ensures secretarial standards are followed. The same role extends naturally to ESG: policies, disclosures, board reporting and monitoring.
In the paper, this chapter sits with the Governance and Sustainability part. It gives you the base for later chapters on board governance, compliance and sustainability reporting. Questions are written and case-based, so you must apply the provision to facts and reach a conclusion.
The chapter is short and statute-driven, so it is one of the easier places to score well if you know the exact wording. Section 205, Section 378X and Section 25 each have clear conditions, numbers and consequences that examiners can test through a short case. Clean answers, with provision, analysis and conclusion, earn marks quickly. The ESG role topic also lets you add practical points to answers in other chapters of Paper 1.
Empowerment of the Company Secretary Profession: topics in the order to study them
- 1Functions of Company Secretary under Section 205Start with the core statutory duties, since every other topic builds on what the CS is legally expected to do.
- 2Role of Company Secretary in ESG and GovernanceNext, extend those duties into practice: board reporting, policies and sustainability compliance.
- 3Secretary of Producer Company under Section 378XThen study a specific statutory requirement for a whole-time secretary, with its turnover test, qualification and penalty.
- 4Penalty for Misuse of ICSI Name or Degree under Section 25Finish with the protection of the profession, a short topic with precise prohibitions and punishments to memorise.
How to prepare Empowerment of the Company Secretary Profession
This chapter rewards exact reading of the sections and then practice in applying them to short facts.
- Read Section 205 in full and write its three functions in your own words: report to the Board on compliance, ensure compliance with secretarial standards, and discharge prescribed duties.
- Note the Explanation to Section 205: secretarial standards are those issued by ICSI and approved by the Central Government. Also note sub-section (2), which says the CS role does not affect the duties of the Board, chairperson, managing director or whole-time director.
- Build a one-page note on Section 378X: turnover above five crore rupees (or the prescribed amount) in each of three consecutive financial years, whole-time secretary, ICSI membership, penalty of ₹100 per day up to ₹1,00,000, and the defence of reasonable efforts or lack of financial capacity.
- Make a table-style list in your notes for Section 25: the three prohibitions, and the punishment on first and subsequent conviction. Learn the amounts in rupees.
- Link the CS role to ESG with three or four practical examples, such as advising the Board on policy, checking disclosures and monitoring compliance, and keep them short.
- Practise two or three case questions. Write each answer in three parts: provision, application to the facts, conclusion.
Common mistakes in Empowerment of the Company Secretary Profession
Treating Section 205 as making the CS responsible for the Board's own duties.
Fix: State that Section 205(2) preserves the duties of the Board, chairperson, MD and whole-time director. The CS reports and ensures; the Board still carries its own duties.
Applying Section 378X to any company or on a single year's turnover.
Fix: Say it applies to a Producer Company with average annual turnover above ₹5 crore, or the prescribed amount, in each of three consecutive financial years.
Forgetting the defence in Section 378X(3).
Fix: In a case answer, check whether reasonable efforts were taken or finances made hiring impossible. If so, no penalty is imposed.
Mixing up the penalty figures in Section 25.
Fix: Learn first conviction and subsequent conviction separately, with the minimum and maximum fine for each.
Writing general ESG commentary without tying it to a provision.
Fix: Anchor each point to a function, such as reporting to the Board on compliance, then add the ESG application.
Giving conclusions without analysing the facts in case questions.
Fix: Quote the provision, test each condition against the facts, then state a clear conclusion.
