Stakeholders Rights in Corporate Governance: CS Professional Chapter Guide
Stakeholders Rights covers who the stakeholders of a company are and how the Companies Act, 2013 protects them. You study the Stakeholders Relationship Committee, the Nomination and Remuneration Committee and the vigil mechanism under Sections 177 and 178. In the exam, you state the provision, apply it to the facts and conclude.
What this chapter covers
This chapter asks one question: how does company law make sure that people other than the board and the majority shareholders get heard? Stakeholders include shareholders, debenture-holders, deposit-holders, employees, creditors, customers and the community. The Act gives them structures to use: committees with defined composition, defined duties and a duty to attend general meetings.
The chapter rests on three provisions. Section 178 covers the Nomination and Remuneration Committee (NRC) and the Stakeholders Relationship Committee (SRC). Section 177 supplies the vigil mechanism through its sub-sections (9) and (10), and it is the base for the Audit Committee that the vigil mechanism reports to. Section 160 is a useful side point: it links director candidature to the NRC's recommendation.
The chapter connects to the rest of Paper 1 (Governance and Sustainability). Board committees, independent directors, remuneration policy and whistleblowing come back in the governance, risk and reporting parts. If you learn the committee rules here with exact numbers and conditions, those later topics become easier.
Paper 1 is a written paper, and Governance and Sustainability carries the largest share of it. Questions on committees are favourites because the law is precise and easy to test through a short fact pattern: a company with a certain number of security holders, a committee with a wrong chairperson, or a complaint that goes unresolved. If you know the exact composition rules, triggers and penalty wording, you can score full marks on provision-analysis-conclusion answers. If you are vague, you lose marks on conditions that look small but decide the answer.
Stakeholders Rights: topics in the order to study them
- 1Stakeholders and Their Rights in Corporate GovernanceStart with the idea. You need to know who the stakeholders are and what they can expect before the committees make sense.
- 2Stakeholders Relationship Committee under Section 178This is the core statutory body of the chapter. Learn when it is required, who chairs it and the 1,000 security-holder trigger first.
- 3Functions and Grievance Redressal of the CommitteeOnce you know the committee's structure, learn what it does: consider and resolve grievances, and the good-faith protection in the proviso to sub-section (8).
- 4Nomination and Remuneration Committee and Stakeholder InterestsMove to the second committee in the same section. Compare its composition rules with the SRC so you do not mix them up.
- 5Vigil Mechanism and Protection of Stakeholder InterestsFinish with Section 177(9) and (10). It builds on the Audit Committee and brings in safeguards against victimisation.
How to prepare Stakeholders Rights
This chapter is mostly statute. Your aim is to hold exact rules in memory and apply them to a short set of facts.
- Read the five topics once for the idea, without trying to memorise. Be clear on who a stakeholder is and why the law protects each group.
- Make a comparison sheet of the three bodies: Audit Committee, NRC and SRC. For each, note who must form it, minimum members, independent director requirement and who may chair it.
- Learn the exact wording of the key rules. For example, the NRC needs three or more non-executive directors, not less than one-half independent. The chairperson of the company may be a member but may not chair it.
- Learn the SRC trigger: more than one thousand shareholders, debenture-holders, deposit-holders and other security holders at any time during a financial year. The chairperson must be a non-executive director.
- Practise two or three case-based answers. Write the provision first, apply it to the facts, then state a clear conclusion. Include the penalty range and who is liable when the question asks about contravention.
- Revise the vigil mechanism separately: who must set it up, safeguards against victimisation, direct access to the Audit Committee chairperson, and website and Board's report disclosure.
- Finish with a timed written answer on one topic from memory, then check each condition against the Act.
Common mistakes in Stakeholders Rights
Mixing up the NRC and SRC composition rules.
Fix: Keep a two-column table. NRC: three or more non-executive directors, at least half independent. SRC: a non-executive chairperson, other members as the Board decides.
Saying the SRC is needed in every company.
Fix: State the condition: more than one thousand security holders at any time during a financial year. Count shareholders, debenture-holders, deposit-holders and other security holders together.
Allowing the company chairperson to chair the NRC.
Fix: Write both halves: the chairperson may be a member but shall not chair the NRC.
Treating any failure to resolve a grievance as a contravention.
Fix: Say that inability to resolve or consider a grievance in good faith is not a contravention. Check the facts for good faith.
Writing the conclusion without applying the facts.
Fix: Use three parts every time: the provision, the analysis against each fact given, and a one-line conclusion.
Forgetting disclosure and website requirements.
Fix: For the remuneration policy and the vigil mechanism, always add website placement and disclosure in the Board's report.
Last-day revision: Stakeholders Rights
- NRC: three or more non-executive directors, not less than one-half independent directors.
- The company's chairperson may be an NRC member but cannot chair it.
- NRC identifies persons qualified to be directors or senior management and recommends their appointment and removal to the Board.
- NRC formulates criteria for qualifications, positive attributes and independence, and recommends a remuneration policy to the Board.
- Remuneration policy must be reasonable, link pay to performance and balance fixed and incentive pay.
- The remuneration policy goes on the company website, and its salient features go in the Board's report.
- SRC is required where the company has more than one thousand security holders at any time during a financial year.
- SRC chairperson must be a non-executive director; other members are decided by the Board.
- SRC considers and resolves grievances of security holders; good-faith inability to resolve a grievance is not a contravention.
- Chairperson of each committee, or an authorised member, must attend general meetings.
- Audit Committee: minimum three directors, independent directors in the majority; vigil mechanism under Section 177(9) must protect users from victimisation.
- Contravention of Sections 177 and 178: company fine of ₹1,00,000 to ₹5,00,000; each officer in default liable to penalty as the Act states.

Stakeholders Rights: frequently asked questions
What is the Stakeholders Relationship Committee under Section 178?
It is a board committee that considers and resolves the grievances of security holders. It is required where the company has more than one thousand shareholders, debenture-holders, deposit-holders and other security holders at any time during a financial year. Its chairperson must be a non-executive director.
Who can chair the Nomination and Remuneration Committee?
The committee has three or more non-executive directors, with at least one-half independent. The chairperson of the company may be a member but cannot chair it. Any other eligible member can be the chair.
Is a vigil mechanism compulsory?
Section 177(9) requires every listed company, and other prescribed classes of companies, to set one up for directors and employees to report genuine concerns. It must protect users from victimisation and allow direct access to the Audit Committee chairperson in appropriate or exceptional cases. Details must be disclosed on the website and in the Board's report.
How should I answer a case-based question from this chapter?
State the relevant provision first. Then apply it to each fact given, such as the number of security holders or the composition of the committee. End with a clear conclusion and, if asked, the consequence of contravention.
