Clearing and Settlement Basics for NISM Series VII

Updated 11 October 2026 · Fact-checked

Clearing is the process that comes after a trade is executed: confirming the trade, working out what each member must pay or deliver, and netting it. Settlement is the actual transfer of funds and securities. A clearing corporation sits between the parties, guarantees completion, and manages the risk in between.

Understand Clearing and Settlement Basics

When you buy a share on an exchange, trading only fixes the price and quantity. Nobody has yet paid or received anything. The steps that follow make sure the buyer gets the securities and the seller gets the money.

Clearing is the work done between trade and delivery. It covers capturing the trade details, confirming them, calculating the obligation of each clearing member, and netting (offsetting) purchases against sales. The result is a final figure: how many securities and how much money each member must deliver or receive.

Settlement is the final step where the obligation is carried out. Securities move through the depository and funds move through the clearing banks. Settlement is complete when the buyer holds the securities and the seller holds the funds.

A clearing corporation (such as NSE Clearing or Indian Clearing Corporation) is the body that does this for an exchange. It acts as a counterparty to both sides after the trade is accepted for clearing, which is called novation. So the buyer and seller do not carry each other's default risk. The clearing corporation also collects margins and runs a settlement guarantee fund to protect the system.

Indian equity markets use a rolling settlement cycle. Trades done on a day are settled a fixed number of working days later, counted from the trade day (T). The standard cycle is T+1. Remember the sequence: trade, clearing, settlement.

Key formulas to remember

Sequence of events
Trade → Clearing (confirm, determine obligation, net) → Settlement (pay-in, pay-out)
Clearing always comes before settlement. Exam options often reverse them.
Clearing vs settlement
Clearing = determining obligations; Settlement = discharging obligations
Clearing is about calculation and netting. Settlement is about actual movement of funds and securities.
Novation
Buyer ↔ Clearing Corporation ↔ Seller
The clearing corporation becomes the buyer to every seller and the seller to every buyer. This is how it guarantees settlement.
Rolling settlement
Settlement day = T + n working days (n = 1 for the standard equity cycle)
T is the trade day. Count working days only, excluding exchange holidays and weekends.
Net obligation
Net obligation = Total buy value − Total sell value (per security or for funds)
A positive net buy means the member pays funds. A positive net sell means the member receives funds.

How to solve Clearing and Settlement Basics questions

Use this method for any question on the basics of clearing and settlement. It keeps you from mixing up the stages.

  1. 1Read the question and decide which stage it is about: trade, clearing, or settlement.
  2. 2Look for key words. Confirmation, netting and obligation point to clearing. Pay-in, pay-out and transfer of funds or securities point to settlement.
  3. 3If the question mentions guarantee, counterparty or novation, think of the clearing corporation's role.
  4. 4For date questions, count working days from T. Skip weekends and exchange holidays.
  5. 5For netting questions, add all buys and all sells separately, then subtract.
  6. 6Check each option against the stage you chose. Remove options that belong to a different stage.
  7. 7Pick the option that matches exactly. Watch for absolute words like always and only.

Quickest way: Stage-matching shortcut

When to use it: Use it for definition or role questions when you have under a minute per question.

  1. Ask: is this calculating or is this moving? Calculating is clearing. Moving is settlement.
  2. If the clearing corporation is the actor and it takes on the risk, think novation and guarantee.
  3. For cycle questions, add the number of working days to T and skip holidays.
  4. Eliminate any option that puts settlement before clearing.

Common mistakes in Clearing and Settlement Basics

  • Treating clearing and settlement as the same thing.

Both words appear together in most books and the two steps run back to back.

Fix: Remember that clearing determines who owes what, and settlement is when it is actually paid or delivered.

  • Saying settlement happens on the trade day.

Students think of a trade as an instant exchange of shares and money.

Fix: Trade day is T. Settlement comes later under the rolling cycle. Check the prescribed cycle for the instrument.

  • Counting holidays or weekends when working out the settlement date.

Students count calendar days instead of working days.

Fix: Count only working days. Skip weekends and exchange holidays.

  • Thinking the buyer and seller are counterparties to each other after clearing.

Students picture a trade as a direct deal between two people.

Fix: After novation the clearing corporation is the counterparty to both. It guarantees completion.

  • Believing the exchange itself nets the trades and moves the money.

Exchange and clearing corporation are often mentioned together and some are group companies.

Fix: The exchange provides the trading platform. The clearing corporation handles netting, risk management and settlement of obligations.

Worked examples

Example 1

A member buys 500 shares of a company and sells 300 shares of the same company on the same day, both at the same price. What is the member's net securities obligation, and is working it out clearing or settlement?

Show the solution
  1. Add buys: 500 shares. Add sells: 300 shares.
  2. Net position = 500 − 300 = 200 shares net buy.
  3. The member must receive 200 shares and pay the funds for the net quantity.
  4. Determining this net obligation is part of clearing. Actually delivering the shares and money is settlement.

Answer: The net obligation is 200 shares to receive. Working it out is clearing, and the later transfer is settlement.

Example 2

A trade is executed on a Wednesday under a T+1 rolling settlement cycle. There are no holidays. On which day is the settlement due, and which entity guarantees completion once the trade is accepted for clearing?

Show the solution
  1. T is Wednesday.
  2. T+1 means one working day after the trade, which is Thursday.
  3. After the trade is accepted for clearing, novation applies.
  4. The clearing corporation becomes the counterparty to both the buyer and the seller, so it guarantees completion.

Answer: Settlement is due on Thursday, and the clearing corporation guarantees completion.

Exam tips

  • Link each word to its stage: confirmation and netting for clearing, pay-in and pay-out for settlement.
  • Read the question for the phrase 'working days'. Holidays change the settlement date.
  • If an option says the buyer and seller remain counterparties to each other after clearing, treat it as a trap and recall novation.
  • Study this topic together with the clearing corporation's risk management, since questions often combine the two.

Clearing and Settlement Basics: frequently asked questions

What is the difference between clearing and settlement?

Clearing is the process of confirming trades, calculating obligations and netting them. Settlement is the actual delivery of securities and payment of funds that discharges those obligations. Clearing comes first.

What does a clearing corporation do in India?

It determines the obligations of its clearing members, takes on the counterparty role through novation, collects margins and manages settlement. It also maintains a guarantee fund to protect the system from member default.

What is rolling settlement?

Under rolling settlement, trades done on any day are settled after a fixed number of working days from that day. In the standard equity cycle, the settlement is on the next working day, T+1.

Is this topic important for NISM Series VII?

Yes. Series VII is about securities operations and risk management, and clearing and settlement is core to it. The exam has negative marking of 25% of the marks assigned to a question, so avoid guessing between clearing and settlement options.
