A company secretary is reviewing a multi-page shareholders' agreement before signing. To guard against later substitution of pages, which drafting convention should be followed?

Each party should initial every page and sign at the end, with numbered pages and listed schedules. This makes substitution or insertion of pages easy to detect, whereas signing only the first or last page leaves the middle of the agreement unprotected.

  1. ASign only on the final page
  2. BHave each executing party initial every page and sign at the end, with page numbers and a schedule listCorrect
  3. CSign the first page only, as it names the parties
  4. DRely on the witnesses' signatures to protect interior pages

Explanation

Initialling each page, numbering pages and referencing schedules make substitution or insertion of pages easier to detect. Signing only the last or first page leaves interior pages unprotected, and witnesses' signatures do not authenticate the content of each page.
