CS Professional · CSR and Social Governance · Model Code for Meetings of Non-Corporate Entities
At a general meeting of Kaveri Education Trust, the president named in the code to chair meetings is absent and no other person is designated. Members present are keen to proceed. Applying the usual model code approach, what should be done?
The members present should elect one of themselves as chairperson. The model code approach lets the meeting proceed when the designated chair is absent, while quorum still applies and the secretary cannot take over decisions.
- APostpone the meeting automatically for a year
- BLet the secretary alone decide every resolution
- CThe members present elect one of themselves as chairperson to conduct the meetingCorrect
- DCancel the quorum requirement for this meeting
Explanation
Where the designated chairperson is absent, the usual model code approach is that members present choose one of themselves to chair. The meeting need not be abandoned, and quorum is not waived. A secretary does not take over decision-making.
