CSR and Social Governance · Model Code for Meetings of Non-Corporate Entities
Quorum, Chairperson and Conduct of Meetings in Non-Corporate Entities
Updated 11 October 2026 · Fact-checked
Under the model code for meetings of non-corporate entities, a meeting is valid only if the quorum is present, a chairperson presides, and proceedings follow the governing document. If quorum fails, the meeting is normally adjourned. The chairperson keeps order, decides points of procedure and ensures decisions are recorded properly.
Understand Quorum, Chairperson and Conduct of Meetings
A trust, society, partnership or similar body has no Companies Act framework for its meetings. The model code fills this gap. It gives a standard set of practices that such entities can adopt, so that decisions are valid and defensible.
The first idea is quorum. Quorum is the minimum number of members, trustees or partners who must be present for the meeting to transact business. Without it, any decision can be challenged as invalid. The governing document (trust deed, bye-laws, memorandum of association of the society or partnership deed) comes first. The model code applies where that document is silent or the entity chooses to adopt it.
The second idea is the chairperson. The chairperson presides, confirms that quorum is present, opens the meeting, takes up the agenda in order, gives each member a fair chance to speak, rules on points of order and puts matters to vote. Where the chairperson is absent, the members present choose one of themselves to preside, unless the governing document says otherwise.
The third idea is orderly conduct. Attendance is recorded, business is taken as per the agenda, discussion stays on the subject, and decisions are taken by the method the document allows. If quorum is missing, the meeting is adjourned. If the meeting cannot finish its business, the chairperson can adjourn it to a later time, and only the unfinished business is taken up then.
In an exam, always check three things: what the governing document says, whether quorum existed when business was transacted, and whether the chairperson acted within their powers. Check the exact figures and wording in the model code text you have been given, since entities and documents differ.
Key rules to remember
- Quorum rule
- Valid business = quorum present + proper notice + chair presiding
- Business transacted without quorum is open to challenge. The number needed is set by the governing document or the model code.
- Order of authority
- Governing document > model code (where adopted or silent) > general practice
- Always apply the entity's own document first. State this before applying the model code.
- Absence of quorum
- No quorum → meeting adjourned (to date fixed by the document or the members/chair)
- Quote the adjournment period and the quorum for the adjourned meeting as given in the text you are using. Do not assume them.
- Chair when absent
- Chairperson absent → members present elect one of themselves
- Applies unless the governing document names a different person.
- Adjourned meeting business
- Only unfinished business of the original meeting
- No new business is introduced at an adjourned meeting.
How to solve Quorum, Chairperson and Conduct of Meetings questions
Use this sequence for any case-based question on quorum, chairperson or conduct of a meeting.
- 1Identify the entity (trust, society, partnership, other) and the type of meeting.
- 2Check what the governing document says on quorum and presiding officer. State it first.
- 3Apply the model code where the document is silent or the code is adopted.
- 4Test the facts: how many were present, when, and was the quorum there throughout the business.
- 5Examine the chairperson's role: who presided, whether the appointment was proper, and whether the actions were in order.
- 6Decide the effect: valid, invalid, adjourned or open to challenge.
- 7Add practical points: record attendance, minute the adjournment, give notice of the adjourned meeting.
- 8Write a clear conclusion in one or two lines.
Quickest way: Quorum-Chair-Conduct check
When to use it: Short case questions where you have about ten minutes and need a structured answer fast.
- Write the rule: quorum is the minimum presence needed for valid business.
- Count present against required. State the shortfall or surplus.
- Name the consequence: adjourn, or proceed if quorum is met.
- Say who should preside and what the chair must do.
- Close with the effect on decisions and the minute to be recorded.
Common mistakes in Quorum, Chairperson and Conduct of Meetings
Quoting a fixed quorum number as if it applies to every entity.
Students memorise a number from a company-law context.
Fix: Say that the quorum is as per the governing document or the model code text, and apply the number given in the question.
Ignoring the governing document and applying only the model code.
The chapter title focuses on the code.
Fix: Always state the order of authority: the entity's own document first, then the code.
Treating decisions taken without quorum as valid.
Students focus on the majority vote and forget the presence requirement.
Fix: Check quorum before looking at votes. Without quorum, the decision is open to challenge.
Letting an adjourned meeting take up fresh business.
Students assume the adjourned meeting is a new meeting.
Fix: Limit it to the unfinished business of the original meeting.
Describing the chairperson as having unlimited power.
The chair seems to control everything.
Fix: Show that the chair acts within the document and the code, maintains order, and cannot override the members' rights.
Leaving out the practical step of recording attendance and the adjournment.
Answers stay theoretical.
Fix: Add a line on the attendance register, minutes and notice of the adjourned meeting.
Worked examples
Example 1
The trust deed of Shree Vidya Trust requires at least 3 of its 5 trustees to be present for a meeting. At a meeting called to approve the annual accounts, only 2 trustees attend. The chairperson goes ahead and the accounts are approved. Advise on the validity.
Show the solution
- Rule: business is valid only if the quorum fixed by the governing document is present.
- Facts: the quorum is 3 trustees. Only 2 attended, so the quorum was not met.
- Application: the meeting lacked quorum, so it could not validly transact business.
- The chairperson should have noted the shortfall and adjourned the meeting instead of proceeding.
- Effect: the approval of accounts is open to challenge. The trust should call an adjourned or fresh meeting as the deed or code allows and place the accounts for approval again.
- Practical point: record the attendance and the adjournment in the minutes.
Answer: The approval is not valid because the quorum of 3 trustees was not present. The meeting should have been adjourned, and the accounts should be approved again at a meeting with proper quorum.
Example 2
At the general body meeting of Nav Jyoti Society, the elected chairperson is absent. Members present are enough for quorum. The bye-laws are silent on who presides in such a case. Explain what the members should do and the duties of the person who presides.
Show the solution
- Rule: if the chairperson is absent and the document does not say otherwise, the members present choose one of themselves to preside.
- Facts: quorum exists and the bye-laws are silent, so the model code position applies.
- Action: the members present elect a member as chairperson for that meeting.
- Duties of the person presiding: confirm quorum, open the meeting, follow the agenda, allow fair discussion, rule on points of order and put matters to vote.
- Record: the minutes should note the absence of the regular chairperson and the election of the person who presided.
Answer: The members present should elect one of themselves to preside. That person conducts the meeting in order, within the bye-laws and the code, and the minutes record the election.
Exam tips
- Start every answer with the governing document, then the model code. Examiners reward this order.
- Use the numbers in the question to test quorum. State present versus required in one line.
- Always give the consequence: adjourned, valid or open to challenge. A conclusion earns marks.
- Add one practical drafting point, such as minutes, attendance register or notice of the adjourned meeting.
- Check the exact wording of the model code in the text supplied before quoting any period or figure.
