Kaveri Auto Ltd, a listed public company, concluded its AGM on 5 August. By which date must it file a copy of the Section 121 report with the Registrar, counting thirty days from the conclusion of the meeting, without additional fees?
The report must be filed within thirty days of the conclusion of the AGM. For an AGM concluded on 5 August, the thirtieth day is 4 September. The sixty-day period applies to Producer Companies, not to a listed public company under Section 121.
- A4 SeptemberCorrect
- B19 August
- C3 October
- D4 November
Explanation
Section 121(2) requires filing within thirty days of the conclusion of the AGM. Thirty days from 5 August gives 4 September (26 days left in August plus 4 days in September). Sixty days (3 October) applies to Producer Companies' proceedings, not here.
