Kaveri Foods Ltd, a listed company, has placed its full CSR policy on its website. How can the Board's report comply with the requirement to disclose the CSR policy details?

The Board's report may briefly state the salient features of the CSR policy and any change in it, and indicate the web address where the complete policy is available. The proviso to section 134(3) treats this as sufficient compliance.

  1. AIt need not mention the CSR policy at all, as the website suffices
  2. BIt must reproduce the entire policy text in the Board's report
  3. CIt may state the salient features of the policy and any change in brief and give the web address where the complete policy is availableCorrect
  4. DIt may only give the web address, without any features

Explanation

The second proviso to section 134(3) says that where the policy under clause (o) (or clause (e)) is on the company's website, it is sufficient to specify its salient features and any change briefly and indicate the web address of the complete policy. Giving only the link omits the features.
