Under Section 170 of the Companies Act, 2013, where must a company keep the register containing particulars of its directors and key managerial personnel?
The register of directors and key managerial personnel must be kept at the company's registered office. Section 170(1) says so directly. The Registrar only receives a return of particulars, not custody of the register, and the auditor or company secretary has no role in holding it.
- AAt its registered officeCorrect
- BAt the office of the Registrar of Companies
- CAt the office of its statutory auditor
- DAt the residence of the company secretary
Explanation
Section 170(1) requires every company to keep the register at its registered office. The Registrar receives a separate return under Section 170(2), but the register itself is not kept at the Registrar's office.
