Zephyr Holdings Inc., incorporated in Singapore, set up a liaison office in Pune on 1 March. Its charter is in English. By which date must it deliver the charter and the other prescribed documents to the Registrar for registration?

Zephyr must deliver the documents within thirty days of establishing its place of business in India, so by 31 March. Section 380(1) fixes this thirty-day period from establishment, not sixty days, not a year-end date, and not before opening.

  1. AWithin thirty days of establishing the place of business, i.e. by 31 MarchCorrect
  2. BWithin sixty days of establishing the place of business
  3. CWithin ninety days of the end of the financial year
  4. DBefore the place of business is established, as a condition for opening it

Explanation

Section 380(1) requires every foreign company to deliver the specified documents within thirty days of establishing its place of business in India. One month from 1 March runs to 31 March. Sixty days is wrong because the Act fixes thirty days.
