Incorporation of Company and Matters Incidental Thereto for CA Inter

This chapter covers how a company is born and run at the start: types of companies, promoters, registration, MOA, AOA, constructive notice, indoor management, prospectus and share capital. Learn each topic as rule, conditions, then consequence, and answer scenarios in provision, facts, conclusion format.

What this chapter covers

This chapter explains how a company comes into existence and what documents and rules govern it from day one. You start with what a company is and its types. Then you see who creates it (promoters), how it is registered, and which documents define it (memorandum and articles). The last part deals with how it reaches the public for money: the prospectus and share capital.

Section 7 of the Companies Act, 2013 is the core of registration. You file the memorandum and articles signed by the subscribers, a declaration by a professional (advocate, chartered accountant, cost accountant or company secretary in practice) engaged in the formation, and a declaration from each subscriber and first director. In that declaration, each subscriber and first director states that he is not convicted of any offence in connection with the promotion, formation or management of any company, and that he has not been found guilty of fraud, misfeasance or breach of duty to any company during the preceding five years. The declaration also confirms that the documents filed are correct, complete and true. You also file the address for correspondence and the particulars of subscribers and first directors. The Registrar then registers the documents, issues the certificate of incorporation and allots a corporate identity number.

False or suppressed information attracts action under section 447. Where a company is got incorporated by false or incorrect information, suppression of a material fact or fraud, the Tribunal may, on an application and after giving the company a reasonable opportunity of being heard, pass orders to regulate the management (including changes in the memorandum and articles), direct that the liability of members shall be unlimited, direct removal of the company's name from the register, or order winding up. The Tribunal must also take into account the transactions the company has entered into, including obligations contracted and payment of liabilities.

The chapter also touches special forms. A Producer Company (Chapter XXIA, sections such as 378C and 378G) needs ten or more individuals, each being a producer, or two or more Producer Institutions, or a combination of ten or more individuals and Producer Institutions. Its articles must carry mutual assistance principles such as one member one vote. This chapter feeds later chapters on share capital, directors, meetings and winding up, so weak basics here cost you marks across Paper 2 Part I.

Questions here are mostly case-based, so they reward clear rules and neat application. The same concepts (MOA, AOA, doctrines, prospectus) also support MCQs, which carry 30 marks per paper with no negative marking. Section 7 and the Producer Company provisions are easy to quote and easy to lose marks on if you mix conditions. A solid grip on this chapter also makes later Company Law chapters faster to learn.

Incorporation of Company and Matters Incidental Thereto: topics in the order to study them

  1. 1Meaning and Types of CompaniesStart here because every later topic uses these definitions, such as private, public, one person and producer companies.
  2. 2Promoters and Their Legal PositionPromoters act before the company exists, so you must know their role and liability before registration.
  3. 3Incorporation Process and Certificate of IncorporationOnce you know who forms a company, learn the section 7 documents, the certificate, the CIN and the effect of false information.
  4. 4Memorandum of AssociationThe MOA is the charter filed at registration, so it follows the process and defines the company's clauses and powers.
  5. 5Articles of AssociationStudy the AOA after the MOA, since it holds internal rules and must stay subordinate to the MOA and the Act.
  6. 6Doctrines of Constructive Notice and Indoor ManagementThese doctrines depend on the MOA and AOA being public documents, so they come only after both.
  7. 7Prospectus and Capital Raising DisclosuresOnce the company exists with its documents, learn how it invites the public to subscribe and what disclosures apply.
  8. 8Share Capital, Allotment and Related MattersThis closes the chapter because allotment follows the prospectus and leads into later share capital chapters.

How to prepare Incorporation of Company and Matters Incidental Thereto

Treat this chapter as a sequence: form, document, protect outsiders, raise money. Learn rules with their exact conditions, then practise short scenarios.

  1. Read the chapter once in study order, noting only definitions and conditions, not every detail.
  2. Make a one-page list of section 7 filings and the consequences of false information, in your own words.
  3. Build a comparison sheet for MOA versus AOA, and for constructive notice versus indoor management, with the exceptions to each doctrine.
  4. List types of companies with their key features, including the Producer Company's minimum members and one member one vote principle.
  5. Solve past questions and ICAI practice scenarios, writing each answer as provision, facts, conclusion.
  6. Attempt MCQs on this chapter by topic and note why each wrong option is wrong.
  7. Check the ICAI amendments document for your attempt and update any changed provisions before revision.

Common mistakes in Incorporation of Company and Matters Incidental Thereto

  • Mixing up the conditions for forming different company types.

Fix: Keep a table in your notes of each type with its conditions, and recite it before attempting MCQs.

  • Treating constructive notice and indoor management as the same idea.

Fix: Remember the direction: constructive notice works against the outsider, indoor management works in favour of the outsider. Learn the exceptions separately.

  • Writing the conclusion without stating the provision.

Fix: Open every scenario answer with the rule, apply the facts, then conclude in one line.

  • Forgetting who gives the declarations under section 7.

Fix: Split them into two: the professional and the named officer, and the subscribers and first directors. Also remember the five-year limit applies only to the finding of fraud, misfeasance or breach of duty, not to the conviction.

  • Ignoring consequences of false incorporation information.

Fix: Learn section 447 action, liability of promoters and first directors, and the Tribunal's powers as one linked set. Remember the Tribunal acts on application, after hearing the company.

  • Skipping the amendments note for the attempt.

Fix: Check the ICAI amendments applicable to your exam and mark changed provisions in your notes.
