CFA Level III Private Markets Pathway Study Guide

The **Private Markets Pathway** is one of three Level III pathways. It covers private markets topics such as private equity, private debt and real assets. Check the current CFA Institute curriculum for the exact module list. You solve it by tying every structure, valuation or risk point to the client's objectives and constraints, in item sets and essays.

The Private Markets Pathway is a specialized part of CFA Level III. You choose it at registration and cannot change it afterwards. The charter is the same whichever pathway you take. Pathway topics carry 30-35% of the topic weight, so this pathway carries more weight than any single core topic. Questions are a mix of item sets and essay sets, and each set is worth 12 points.

The paper tests your ability to apply private market knowledge, not just recall it. The pathway covers the private markets learning modules in the official curriculum. Check the current CFA Institute curriculum for the exact list. Expect to judge fund terms, compare strategies, explain valuation and risk differences, and recommend an approach for a given investor. Expect questions that link back to core Level III ideas such as asset allocation and portfolio construction.

I cannot give you a verified pass-rate or average score for this pathway, and none is published by topic. There is no minimum passing score per topic, so a weak chapter can be offset elsewhere. In practice, candidates tend to find this material wide and descriptive. Many lose marks through vague answers, not through hard maths. If you learn the vocabulary, the typical structures and the reasoning behind each choice, you can score steadily.

How to prepare Private Markets Pathway

This plan assumes you study alongside a job. Build understanding first, then practise answering in exam style. Keep sessions short enough to do on a phone.

  1. Read the official learning outcomes for every private markets module first. Turn each outcome into a question you must be able to answer in two or three sentences.
  2. Start with the modules on fund structures and on GP and investor perspectives. They set the language for everything else: fund structure, fees, alignment of interests, due diligence and the investment process.
  3. Study each strategy chapter with the same template: how it makes money, typical structure, key risks, valuation approach, fees and returns, and when it suits an investor. Write this on one page per chapter.
  4. Practise the calculations that appear in the curriculum, such as fee and waterfall mechanics, return measures and valuation steps. Recompute each example by hand, and show every step so a correct number earns full credit.
  5. Link every technique to a client. For each strategy, list which objectives and constraints (return needs, liquidity, horizon, risk tolerance, governance) make it a good or poor fit.
  6. Do item sets in timed blocks after each chapter. Review every wrong option and note why it was wrong, not only why the right one was right.
  7. Practise essay answers on command words such as calculate, identify, explain, justify and recommend. Write the shortest answer that fully earns the points, then compare with the official solution.
  8. In the last weeks, mix pathway sets with core topics under exam timing. Revisit your one-page summaries daily and redo the questions you missed.

Time management in the exam

  • The exam is 4 hours 24 minutes in two sessions of 2 hours 12 minutes. Each session has 11 sets in total, so plan roughly 12 minutes per set. That 12 minutes includes reading the vignette or case.
  • Item sets have 4 questions worth 3 points each. Spend about 3-4 minutes reading the vignette, then aim for roughly 2 minutes per question. Do not reread the whole text for each one.
  • Essay sets carry a variable number of items, and points per item are not disclosed. Read the command word first, then answer exactly what is asked.
  • There is no penalty for wrong answers. Never leave a question blank. Make your best choice and move on.
  • If a set stalls you, mark it, answer what you can and return later. A set you skip entirely costs more than a rough answer.
  • Keep the last 10 minutes of each session for unfinished items and for checking that you gave the number of responses asked, in the order given.

Mistakes that cost marks in Private Markets Pathway

  • Memorising definitions without linking them to a client

    Fix: For each strategy, practise a one-line fit statement: this suits an investor with this horizon, liquidity need and risk tolerance because of this feature.

  • Giving long, vague essay answers

    Fix: Follow the command word. Give a point and a short reason for each response asked, and stop when you have the number requested.

  • Confusing similar strategies

    Fix: Use your one-page template and compare strategies side by side on return source, risk, liquidity and fees.

  • Skipping or rushing fee and return calculations

    Fix: Practise each calculation type until the steps are automatic. Show your working so partial credit is possible, and type a correct number on its own when only the number is asked.

  • Treating the pathway as separate from the core

    Fix: Ask how each private investment affects the whole portfolio, including liquidity, diversification and valuation limits.

  • Leaving pathway revision until the end

    Fix: Schedule pathway study weekly from the start. Since pathway topics carry 30-35% of the topic weight, give them proportionate time.

Can I change my pathway after registering?

No. You choose one of three pathways at registration and cannot change it afterwards. The charter is the same whichever pathway you take, so choose the one that matches your career and your strengths.

How much of the exam is the pathway?

Pathway topics carry 30-35% of the topic weight. The common core makes up the remaining 65-70%. Pathway questions appear as a mix of item sets and essay sets.

Do I need to pass the pathway separately?

No. There is no minimum passing score per topic. Your result is Pass or Did Not Pass based on one overall scale score, and the Minimum Passing Score for Level III is 3600. Even so, do not neglect the pathway, because it carries a large share of the weight.

Is there negative marking?

No. There is no penalty for wrong answers, so answer every item. On multiple-choice items, eliminate options you can rule out and pick the best remaining one.

How should I answer essay questions in this pathway?

Read the bold command word and answer exactly what it asks. Give only the number of responses requested, in the order given. For calculations, a correct number on its own earns full credit, but show steps in your working when it helps you stay accurate.
