LLP Incorporation, Partners and Designated Partners
Updated 11 October 2026 · Fact-checked
An LLP is incorporated under the LLP Act, 2008 by filing the incorporation document with the Registrar through Form FiLLiP, after reserving a name. It needs at least two partners, two of whom are designated partners, at least one resident in India. The LLP agreement then governs mutual rights and duties.
Understand LLP Incorporation, Partners and Designated Partners
A Limited Liability Partnership (LLP) is a body corporate formed under the Limited Liability Partnership Act, 2008. It is a separate legal entity with perpetual succession. It combines the flexibility of a partnership with the limited liability of a company.
Incorporation begins with a name reserved with the Registrar. Then at least two persons associating for carrying on a lawful business with a view to profit subscribe their names to an incorporation document. It is filed in the prescribed form (FiLLiP) with the prescribed fee. The form also carries the consent of each person to act as a designated partner and, where needed, the statement of compliance by an advocate, CA, CS or CMA engaged in the formation. When the Registrar is satisfied, he registers the LLP and issues a certificate of incorporation, which is conclusive evidence of incorporation. The LLP gets an identification number (LLPIN).
Any individual or body corporate can be a partner. But an individual cannot be a partner if a court has declared him of unsound mind, he is an undischarged insolvent, or he has applied to be adjudged insolvent and the application is pending. A body corporate's partnership is exercised through a nominee who is an individual.
Designated partners are the partners responsible for compliance. Every LLP must have at least two designated partners who are individuals, and at least one must be resident in India. Resident means staying in India for at least 120 days during the financial year. If all partners are bodies corporate, their nominees act as designated partners. If no designated partner is named, every partner is deemed designated.
The LLP agreement sets the mutual rights and duties of partners and of the LLP and its partners. It can be freely framed by the partners. If there is no agreement, or it is silent, the First Schedule to the Act applies. The agreement and any changes must be filed with the Registrar within the prescribed period (30 days of incorporation or change, in Form 3 and Form 4 respectively).
Key rules to remember
- Minimum partners
- At least 2 partners; no maximum limit
- If the number falls below 2 for more than 6 months, a person who carries on business knowing this is personally liable for the LLP's obligations arising during that time.
- Designated partners
- At least 2 individuals; at least 1 resident in India (120 days or more in the financial year)
- A body corporate partner acts through a nominee. Deemed designated if none named and all partners are bodies corporate nominees or all partners are deemed.
- Designated partner identification
- DPIN (or DIN) needed for each designated partner
- An individual must have a DPIN/DIN before being appointed.
- Incorporation steps
- Name reservation → FiLLiP with incorporation document → Registrar registers → Certificate of incorporation (LLPIN)
- Certificate is conclusive evidence that the LLP is incorporated.
- Filing of LLP agreement
- Form 3 within 30 days of incorporation; Form 4 within 30 days of any change
- Without an agreement, the First Schedule governs.
- Default rule on profit sharing
- All partners share profits equally (First Schedule)
- Applies only when the LLP agreement does not provide otherwise.
- Liability of partner
- Not personally liable for LLP obligations; liable for own wrongful act
- The LLP is liable for a partner's act done in the course of business. Fraud makes the LLP and the partner liable.

Common mistakes in LLP Incorporation, Partners and Designated Partners
Saying a company's nominee is not needed because a body corporate can be a designated partner directly.
Students mix the words partner and designated partner.
Fix: A body corporate can be a partner, but only an individual can be a designated partner. It acts through a nominee.
Stating that all designated partners must be resident in India.
The residence rule is remembered loosely.
Fix: Only at least one designated partner must be resident, meaning 120 days or more in the financial year.
Treating the LLP agreement as optional to file or as the only source of rights.
Students assume freedom of contract has no limit.
Fix: File the agreement with the Registrar within the time limit. If it is absent or silent, the First Schedule applies.
Writing that the partners are personally liable for LLP debts like in a firm.
Confusing LLP with a partnership under the Partnership Act.
Fix: Liability of a partner is limited to the agreed contribution. Personal liability arises only for own wrongful acts or fraud.
Skipping name reservation or the consent of designated partners in the incorporation steps.
Students remember only the filing of the document.
Fix: Write the full sequence: name, FiLLiP with incorporation document and consents, registration, certificate.
Writing the answer without a conclusion.
Time pressure.
Fix: Close every answer with a one-line conclusion stating valid or invalid, or liable or not.
