CS Professional · CSR and Social Governance · Model Code for Meetings of Non-Corporate Entities

A registered society held its annual general body meeting in September and adopted its accounts. In December, the managing committee learns that the treasurer has been accused of misusing funds and wants members to decide on removal urgently without waiting for the next annual meeting. Which meeting should be convened?

The society should call an extraordinary or special general meeting. The annual meeting has already been held, and an urgent matter needing members' decision, such as removing an office bearer, is dealt with in a general meeting convened between annual meetings, not in a committee meeting.

  1. AAn extraordinary (special) general meeting of the membersCorrect
  2. BA second annual general meeting for the same year
  3. CA meeting of the managing committee only, since removal is an internal matter
  4. DAn adjourned annual general meeting

Explanation

An annual general meeting is held once each year for routine business such as accounts and elections. An urgent matter that arises between annual meetings and needs the members' decision is taken up in an extraordinary or special general meeting. A committee meeting cannot substitute for the members' decision where the members hold the power of removal.
