CS Professional · CSR and Social Governance · Model Code for Meetings of Non-Corporate Entities
The bye-laws of a trust require 14 clear days' notice for a general meeting, and clear days exclude both the day of sending the notice and the day of the meeting. The notice is dispatched to all members on 1 March. What is the earliest date on which the meeting can validly be held?
The earliest valid date is 16 March. With clear-day counting, both the dispatch day (1 March) and the meeting day are excluded, so 2 to 15 March supplies exactly 14 clear days, and the meeting falls on the following day, 16 March.
- A15 March
- B16 MarchCorrect
- C14 March
- D17 March
Explanation
Excluding 1 March, the 14 clear days run from 2 March to 15 March. The meeting day itself must also be excluded, so the meeting can be held on 16 March at the earliest. 15 March gives only 13 clear days because the meeting day is not excluded.
