CS Professional · CSR and Social Governance · Model Code for Meetings of Non-Corporate Entities

The rules of Hind Sports Society require a quorum of 12 members. A meeting adjourned for want of quorum is to be held at the same time and place the following week. The rules add that if quorum is not present within half an hour at the adjourned meeting, the members present shall form the quorum. At the adjourned meeting, 5 members are present after half an hour. What is the correct position?

The adjourned-meeting rule says that if quorum is lacking after half an hour, the members present form the quorum. The 5 members present therefore constitute a valid quorum and may proceed. The original requirement of 12 applies only to the first meeting.

  1. AThe meeting must be adjourned again, as 12 members are always required
  2. BThe meeting stands dissolved and the resolution can never be taken up again
  3. CThe meeting may proceed, since the 5 members present form the quorum under the rule for adjourned meetingsCorrect
  4. DThe meeting may proceed only if the chairperson has a casting vote

Explanation

The rules themselves relax the quorum for an adjourned meeting. Once half an hour has passed without 12 members, those present constitute the quorum, so the 5 members can transact the business on the adjourned agenda. The fixed requirement of 12 applies only to the original meeting. A casting vote concerns ties, not quorum.
